UL Solutions is looking for a Sr. Paralegal to serve as a Sr. Contracts Manager & Legal Technologist to support the management and negotiation of commercial contracts across UL's global service lines. This role combines hands-on contracts work with a mandate to build, deploy, and optimize AI-powered tools and workflows that improve the speed and quality of the commercial legal function. This individual is a key member of the UL Solutions Legal Department’s Commercial Center of Excellence and will support attorneys on that team. This role reports to an Associate General Counsel.
The preferred location for this role is Northbrook, Illinois, but UL Solutions will also consider candidates who are able to work from other UL Solutions office locations (including Chicago or Austin). We have a hybrid work arrangement which requires you to be on-site three days a week.
Responsibilities
- Reviews, redlines, and negotiates commercial contracts under attorney supervision, with a focus on UL Solutions' service agreements with its customers (typically UL Solutions’ form of master services agreement) and confidentiality agreements (which may be on UL Solutions’ or its customers’ forms). This work requires judgment and the application of playbooks, escalation guidelines, and other policies. This work also requires interfacing with non-legal colleagues (including salespeople), attorneys, other UL Solutions functions, and UL Solutions’ customers.
- Daily user of UL Solutions' contract lifecycle management (CLM) platform (Ironclad), including assisting with improving the platform and helping legal and business colleagues in their use of the platform.
- Helps identify, build, and maintain AI-powered tools (such as contract review agents) to accelerate contract review and other legal workflows. This work will leverage Microsoft Copilot and other, legal-specific AI tools.
- Help develop and maintain contract templates, playbooks, clause libraries, and standard response guides.
- Serves as a liaison between the commercial legal team and internal business stakeholders, fielding contract-related inquiries, guiding business teams through the contracting process, and translating legal requirements into practical business guidance.
- Collaborates with Contracts Governance team on matters including CLM usage and reporting on contract volume, cycle times, and other performance metrics to identify bottlenecks and improvement opportunities.
- Archives agreements in the CLM platform, ensuring data integrity and accessibility.
- Keeps abreast of developments in legal technology, AI tools, and CLM best practices, and recommends new tools or process changes to improve the commercial legal function.
Qualifications
- Bachelor's degree plus a minimum of three (3) years of experience reviewing and negotiating commercial contracts (in-house or law firm).
- Experience using a contract lifecycle management platform (Ironclad experience preferred, similar CLM experience also valued).
- Familiarity with and experience using current AI tools applicable to legal work, including Microsoft Copilot and legal-specific tools (such as Harvey, Legora, Ivo, or similar). Experience building or configuring AI agents or workflows is a strong plus.
- Experience reviewing and negotiating service agreements and NDAs, and experience building and using contract playbooks.
- Professional demeanor and ability to serve as a bridge between legal and business teams, communicating clearly with legal and non-legal stakeholders.
- Good organizational and project management skills, with the ability to manage multiple matters simultaneously.
- Comfort working with technology at a hands-on level: configuring tools, testing outputs, troubleshooting workflows, and training others.
- Proficient user of Microsoft applications (Word, Outlook, Teams, PowerPoint, Copilot).
- Paralegal certificate or similar professional credential is a plus but not required.

Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $85,000 to $100,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 10% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
