We are currently seeking an experienced paralegal to join HireRight’s in-house corporate legal team based in Nashville, Tennessee. This role encompasses corporate governance, global entity management, compliance, transaction support, contracting, legal research, project management, and potentially litigation support, including the responsibilities listed below. Candidates should have at least eight years of relevant corporate legal experience.
The role demands a high level of attention to detail and time management skills to meet strict deadlines. The ideal candidate will be extremely detail-oriented, confident, professional, and proactive in their approach, have the ability to work collaboratively, and also be capable of working autonomously. They must be comfortable with, and skilled in, interacting with attorneys, other professionals in various departments, and our executives or board members.
This is a hybrid position located in our Nashville, TN office.
Responsibilities
- Prepare and assist with filing corporate documentation, including the formation, consolidation, maintenance, and dissolution of entities in the United States and foreign countries
- Manage foreign qualifications for international entities and branches, working with outside counsel and various agencies and authorities with respect to entity filings
- Prepare, review, and maintain minutes, resolutions, written consents, and corporate organizational documents
- Producing documents related to the development and implementation of corporate policies and templates
- Providing contract support for standard corporate agreements, such as non-disclosure, services agreements, and independent contractor agreements
- Providing administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions
- Assist with executive and director compensation matters
- Assist with matters related to the Company’s external auditors
- Maintain corporate minute books
- Manage the legal department’s files
- Manage outside counsel budgeting and billings
- Manage trademarks
- Assist with corporate insurance placements and administration
- Assist with M&A or other legal transactional matters as needed
- Assist with KYC (Know Your Customer) documents for treasury needs
- Conduct legal research as needed regarding matters impacting the Company’s ongoing business objectives
- Participate in ongoing projects and work with attorneys and clients to develop, prioritize, and monitor achievement of project goals
- Maintain a current understanding of the Company’s business
- Draft and/or review documents for legal adequacy and compliance
- Facilitate smooth operation of the Company’s legal function
- Bachelor’s degree from an accredited four year college/university and completion of an approved paralegal program 8+ years of paralegal corporate practice experience
- Proficient with Microsoft products (Word, Excel, PowerPoint, Teams, Outlook, OneDrive, etc.)
- Excellent written and verbal communication skills
- Strong attention to detail with well-developed organizational skills; must be comfortable multi-tasking and prioritizing work streams to meet deadlines
- When appropriate, takes initiative and is able to work independently and exercise good judgment with minimal guidance
- Strong analytical skills; proven ability to analyze and recommend solutions to problems
- Demonstrates high ethical standards
- Team player – the candidate must build relationships throughout the organization to become a resource for the Law Department and internal clients and be willing and able to assist across the organization
- May be to work non-standard hours depending on time zone
