Corporate Counsel

The Corporate Counsel reporting to the CFO. This role will provide legal advice and support on a wide range of corporate, commercial, and regulatory matters. The ideal candidate will possess strong legal acumen, excellent negotiation skills, and the ability to work cross-functionally with internal departments to minimize legal risks and support strategic goals. This role will include responsibility to coordinate matters with external counsel and internal stakeholders.

Key Responsibilities:

• Draft, review, and negotiate a variety of contracts, including vendor, customer, licensing, and confidentiality agreements.
• Provide legal support for corporate governance, mergers and acquisitions, and compliance with corporate laws and regulations.
• Advise business teams on legal risks, obligations, and opportunities.
• Monitor changes in laws and regulations that affect the company’s operations and ensure compliance.
• Assist outside counsel in M&A and other acquisitions including managed services agreements
• Implement and coordinate compliance with leases, action items in APA and TSA, Operating Agreements, etc.
• Litigation management on employment matters, and dispute resolution as needed.
• Collaborate with outside counsel and manage legal budgets effectively.
• Develop and deliver training programs to internal teams on legal topics such as compliance, intellectual property, and contractual obligations.
• Maintain and update internal policies, procedures, and legal documentation.

Position Requirements/Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to a state bar and in good standing.
• 3–5 years of relevant legal experience, preferably in-house counsel experience.
• Strong experience in commercial contracts, corporate law, and regulatory compliance.
• Excellent analytical, communication, and interpersonal skills.
• Ability to manage multiple projects and meet deadlines in a fast-paced environment.
• Business-oriented mindset with the ability to balance legal risk with practical business judgment.
