We are currently seeking a Contracts Attorney to join our legal team in Seattle or Bellevue, WA. This role will support our core scientific and engineering consulting business and internal project teams in contracting with Exponent's clients and subcontractors. The ideal candidate is execution- and solutions-oriented, an agile team player, committed to continuous learning and must be proficient in the preparation, analysis, response and negotiation of legal, regulatory and financial aspects of commercial, including government, contracts.
- Drafting, reviewing, and negotiating contracts, including but not limited to retention letters, NDAs, service agreements, vendor contracts, licensing agreements, and government contracts.
- Providing legal advice and support to internal stakeholders on contract-related matters.
- Reviewing and advising on protective orders or other legal restrictions relating to client project work and liaise with outside counsel and client counsel, where relevant.
- Ensuring compliance with company policies and applicable laws and regulations.
- Identifying and mitigating potential risks in contract terms and conditions.
- Working with Exponent’s insurance brokers to ensure contract terms align with Exponent’s insurance policy language and request certificates of insurance for projects, as needed.
- Assisting in the development and implementation of contract management processes and systems.
- Collaborating with cross-functional teams, including finance, purchasing, and practice group leadership, to ensure contract terms align with business objectives.
- Maintaining accurate and organized records of all contracts and related documents.
- JD degree accreditation in the U.S.
- Active membership in good standing with the state bar.
- Minimum of 3-4 years’ experience in contract law, preferably in a corporate legal department or law firm.
- Strong understanding of contract law principles and best practices, including practical implications of warranties, indemnification and dispute resolution provisions.
- Ability to prioritize workload, self-manage projects, handle multiple tasks, and meet deadlines in a fast-paced team environment where critical and very tight deadlines are common.
- Skills in drafting, reviewing, and negotiating a variety of commercial contracts directly with clients, including professional/consulting services, litigation consulting, vendor services, procurement, licensing, and confidentiality agreements.
- Ability to effectively communicate and interact with a wide variety of professionals, including engineers, scientists, clients, executives, and administrative staff.
- Strong analytical and problem-solving skills.
- High level of attention to detail and accuracy.
- Proficiency with Microsoft suite products, Adobe and contract management software and ability to learn Exponent’s internal business programs.
- Previous experience with professional services firm preferred but not required.
- A commitment to client-service and finding solutions.
- Strong business acumen and ability to assess and mitigate legal, reputational, and business risks.
- Ability to gain trust at and work at all levels of the organization.
- A desire to work in a collaborative and team-oriented environment.
- Willingness to adapt to evolving business and legal environment and contribute to the continuous improvement of contracting processes.
- This is a Seattle or Bellevue based position. The successful applicant must live (or be willing to relocate) in the Seattle/Bellevue area and be enthusiastic about regularly working in the office.
