ADI is seeking an experienced lawyer to serve as an Intellectual Property Counsel.  This role will report directly to the Head of ADI’s Intellectual Property team and will oversee intellectual property work across designated business units as part of a global IP team.  This role will be based out of ADI’s offices in Wilmington, MA, and will serve as an in-house expert on US IP matters. 

PRIMARY DUTIES AND RESPONSIBILITIES

The ideal candidate will have specific experience in United States intellectual property law, with some understanding of international intellectual property law, and be able to negotiate complex intellectual property agreements, lead the development and implementation of IP portfolios for multiple product groups across designated business units, gain an in-depth understanding of ADI’s business and intellectual property portfolio, and advise the company and its senior leadership regarding the same, on a regular basis.  As part of a collaborative global IP team, this individual will be responsible for supporting product development through proactive IP counseling, for driving the development of IP portfolios, and for delivering clear, concise, and actionable legal advice to ADI’s Engineering Fellows, business leaders and R&D personnel.  The ideal candidate will also have the depth and breadth of skills and experience needed to have responsibility over the following matters:

  • Provide legal counsel, draft and negotiate IP agreements, including software licenses
  • Oversee the preparation and prosecution of a global IP portfolio, including the management of outside IP counsel around the world; some patent prosecution may be required
  • Direct and guide the IP deliverables for all stages of product development
  • Assist with open source software issues, usage reviews and related product clearances
  • Consistent with overall IP strategy, lead the development and implementation of IP strategies for assigned product groups
  • Help oversee IP litigation matters in concert with ADI’s IP Litigation team.
  • Manage IP aspects of M&A deals including acquisitions, divestitures, and minority interests.
  • Conduct patentability searches
  • Manage product releases by initiating IP clearance/freedom-to-operate investigations
  • Train and educate business on open source software, invention disclosure processes, patent processes and IP asset management

Qualifications:

  • Juris Doctor and license to practice law in at least one U.S. jurisdiction, preferably Massachusetts.
  • Registration to practice before the US Patent and Trademark Office and/or other patent offices.
  • Bachelors or higher degree in Electrical, Computer Engineering, or substantially similar discipline.
  • 10+ years of experience in patent law.
  • Engineering or legal work experience in the medical device, semiconductor or software areas  is beneficial, but not required.
  • Litigation experience as in-house counsel would be beneficial, but not required.
  • Strong communication skills, including a demonstrated ability to communicate to senior management.
  • Capacity to function as part of a team including demonstrated ability of successful collaboration in teams including engineering, IP, and legal professionals.
  • Experience in various intellectual property legal areas including patent drafting, licensing, trade secret, copyright, trademark, and open-source software.
  • Ability to work on multiple projects at the same time.
  • Understanding of IP management and docketing systems, such as Anaqua.
  • Ability to travel, as needed, both in-region and internationally

  • Actual wage offered may vary depending on work location, experience, education, training, external market data, internal pay equity, or other bona fide factors.

  • This position qualifies for a discretionary performance-based bonus which is based on personal and company factors.
