We are seeking a Senior Counsel to join our client’s global legal team in the United States. This position will focus on public company corporate governance, capital markets, and regulatory compliance for a leading mortgage and servicing business. You will work closely with senior executives on high-profile matters, including SEC filings, board matters, and complex transactions.
Key Responsibilities:
- Provide support for the board of directors and corporate governance.
- Assist with earnings, periodic SEC reporting and other public disclosures, e.g., press releases, articles, website and marketing.
- Assist with compliance with the rules applicable to public companies under the Securities Act, Securities Exchange Act, the New York Stock Exchange and other applicable laws.
- Assist with all other matters relating to the public company, including (i) financings, investments and other balance sheet activity and (ii) assisting with oversight over the activities of affiliated service providers, including other general corporate work.
Skills and Qualifications
- 5+ years of experience at a nationally recognized law firm and/or in-house legal department.
- Ideal backgrounds are Capital Markets and Public Company M&A.
- Candidate must have an excellent understanding of the Securities Act and Securities Exchange Act, and have experience with Forms 10-Q, 10-K and 8-K.
- Willingness to learn and understand all areas of our clients business, including its various investing strategies, committee structures, affiliated service providers, financing sources and structures and and the material regulatory regimes under which it operates.
- Must have strong attention to detail and a high standard of excellence.
- Be able to communicate clearly and concisely, with executive presence to advise a range of senior and junior people across the firm.
- Be personable and able to work collaboratively as part of a team.
- Have a positive “can do” attitude to help out wherever needed.
- Must be a self-starter who can work independently and be able to manage and prioritize multiple demands and projects.

Salary:
- $310,000 (Based on experience)
- New York business hours
