We are seeking a Senior Counsel with strong REIT and public company experience to join our client’s global legal team in the United States. This role is critical to supporting the company’s board, corporate governance, and public company compliance, including SEC filings and earnings releases. The ideal candidate combines ’34 Act expertise with REIT-specific knowledge and can advise on complex capital markets transactions.
Key Responsibilities:
- Provide legal support for the board of directors and corporate governance, with a focus on REIT operations.
- Advise on capital markets transactions, financings, investments, and balance sheet activities, particularly in REIT structures.
- Draft and review press releases, investor communications, and earnings scripts.
- Provide strategic counsel to executives across corporate strategy, M&A, and governance initiatives.
- Ensure compliance with the Securities Act, Exchange Act, NYSE rules, and other applicable laws.
- Oversee legal aspects of affiliated service providers and the company’s mortgage and servicing platforms.
- Lead and manage SEC reporting and public disclosures, including Forms 10-K, 10-Q, 8-K, S-8, and proxy statements.
Skills and Qualifications
- 5+ years of legal experience at a nationally recognized law firm and/or in-house, with a strong focus on REITs and public company capital markets.
- Deep expertise in Securities Act and Exchange Act compliance, with hands-on experience managing 10-K, 10-Q, 8-K filings.
- Demonstrated knowledge of REIT structures, mortgage finance, and commercial real estate lending.
- Strong attention to detail, executive presence, and ability to communicate complex legal matters to senior leadership.
- Self-starter who can prioritize multiple projects in a fast-paced, entrepreneurial environment.
- Collaborative and personable, with the ability to work effectively across teams.

Salary:
- $310,000 (Based on experience)
- New York business hours
