
Linklaters LLP seeks Associate, Corporate/M&A in New York, NY to work with partners and senior associates on negotiating, drafting and reviewing of legal documents, including contracts, memorandums, letters and other documents related to corporate law matters, corporate mergers and acquisitions, joint ventures and other similar transactions. Direct due diligence work in connection with corporate transactions. Prepare documentation and other documents related to structuring and assists with implementation of corporate transactions with a particular focus on cross-border transactions. Perform legal research and drafts legal memoranda and briefs on issues arising in a broad range of corporate legal transactional matters, including domestic and cross-border mergers and acquisitions, joint ventures, other transactions, company formation, restructuring and reorganization, and general corporate advice. Apply knowledge of the law to the analysis of the legal consequences of transactions, and the required structuring, restructuring and reorganization to assure the most favorable terms and successful implementation for our clients.
JD or foreign equivalent in the job offered or a related occupation and three (3) years of experience in the job offered or related occupation: drafting and preparing corporate legal transactional documents, including stock purchase agreements, confidentiality agreements, board and stockholder resolutions, incorporating documentation and other legal documents related to restructuring; working on corporate legal transactions for domestic and international clients, including entity formation, joint ventures, private asset or equity acquisitions and public M&A transactions; and providing due diligence workstreams; advising private and publicly-listed clients on housekeeping and corporate governance matters and day-to-day contract templates. Telecommuting and/or working from home may be permissible pursuant to company policies. When not telecommuting, must report to work site.
The base salary range offered for this role will be between $234,000 and $365,000 per year. 40 hours per week, and represents the firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate’s relevant experience, performance, qualifications, as well as the needs of the firm.
