Job Description

JOB DESCRIPTION

We are seeking a collaborative and detail-oriented Transactional Counsel to join our newly formed three-member team supporting the Private Credit Underwriting and Credit Advisory teams. This role will focus on Antares-led financing transactions for private equity-backed companies in the core to upper middle-market. The team provides legal and commercial guidance throughout the deal lifecycle, with a particular emphasis on terms grids, and helps ensure consistency and alignment across the portfolio.

This position offers the opportunity to work on a wide range of transactions, including leveraged buyouts, dividend recapitalizations, add-on acquisitions, refinancings, amendments and restructurings. RESPONSIBILITIES

Primary Deal Support

  • Partner with the Private Credit Underwriting team to analyze, structure, and negotiate deal terms, with a focus on terms grids.
    • Review and negotiate terms grids with deal teams.
    • Advise on structuring issues related to complex capital structures and cross-border considerations.
    • Serve as a resource for deal teams on transaction-related matters and coordinate with external counsel to ensure alignment.
    • Review and negotiate legal and business terms in commitment letters, term sheets, credit agreements, intercreditor agreements, and other transaction documents.

Credit Advisory Support

  • Support the Credit Advisory team in managing borrower accounts facing financial challenges.
    • Analyze existing loan documents during amendment negotiations.
    • Advise account managers on optimal strategies for workouts and restructurings.
    • Negotiate legal and business terms in amendments and restructuring-related documents.

Institutional Strategy & Knowledge Sharing

  • Contribute to the development and maintenance of Antares’ institutional approach to deal terms by monitoring market trends.
  • Deliver training sessions to team members with varying levels of experience and provide regular market updates.
  • Provide transactional support to the liquid credit team and other business units as needed.
  • Oversee and guide external counsel.
  • Build and maintain strong relationships with external law firms.
  • Collaborate cross-functionally to enhance procedures and guidelines for managing the loan portfolio.
  • Update form documents and develop internal guidance to improve efficiency and consistency.
  • Support key institutional initiatives related to market trends and deal terms.
  • Monitor legal developments impacting the loan market.
  • Contribute to special projects as needed.

QUALIFICATIONS

  • J.D. and bar admission in at least one U.S. state.
  • Minimum of 7 years of experience at a law firm or financial institution working on financing transactions.
  • Strong knowledge of middle-market and upper-middle-market deal terms, particularly in private credit.
  • Experience with restructurings is a plus.
  • Commercially minded with a proactive, solution-focused approach.
  • Excellent judgment, business acumen, and communication skills.
  • Comfortable working in a fast-paced, transactional environment.
  • Proven ability to collaborate effectively across teams and functions.
  • Confident in leading meetings and building trust with stakeholders.
  • Skilled at simplifying complex legal and business concepts for diverse audiences.
  • Strong organizational skills with the ability to manage multiple priorities.

  • Must have unrestricted authorization to work in the United States.

A reasonable estimate of the current base salary range at the time of posting is below. Base salary does not include other forms of compensation or benefits. Actual base salary within the specified range is comprised of several components, including but not limited to applicant's skill, prior relevant experience, specific degrees and certifications, job responsibilities, market considerations and the location of the position.

This role is eligible for a discretionary annual bonus (based on company, business unit and individual performance).

Salary Range

Chicago: $225,000 - $280,000

New York: $225,000 - $310,000

Atlanta: $215,000 - $270,000
