BlueStar NA is seeking a highly organized and detailed oriented attorney to serve as its Staff Attorney – Contracts to join our growing organization. BlueStar is a leading distributor of solutions-based digital identification, mobility, point-of-sale, RFID, digital signage, network infrastructure, and security technology.
This role will provide a blend of counseling and transactional support working directly with a wide array of teams across BlueStar to advise and support a rapidly evolving world of technology distribution. Successful candidates will possess a clear and concise communication style, demonstrate strong organizational skills, and effectively collaborate across multiple internal and external teams. The primary focus will be managing the document review process. This includes contract drafting, planning, development, negotiations, and administration. The successful candidate will have 3+ years of broad-based legal experience in dealing with contract issues and general corporate law. A background that incorporates a mixture of law firm and in-house experience is preferred but not required.
Duties And Responsibilities/Essential Functions
- Drafts, reviews, and negotiates a broad range of commercial agreements and contracts, including vendor and commercial agreements, NDA's, service agreements, related agreements, amendments, etc.
- Ensures that contracts are executed in accordance with corporate guidelines and best practices.
- Analyzes all requirements and provisions in contracts, including terms and conditions, to ensure compliance with all laws and regulations and company policies and procedures.
- Works from a set of standard and template contracts for the company.
- Manages current contract database and evaluates contract lifecycle management platforms to determine the company's future requirements and needs.
- Monitors and maintains current knowledge of technology industry trends in legal and compliance matters and pursues ongoing professional development to maintain current knowledge on best practices and risk management.
- Audits existing contracts and oversees contract modifications.
- Analyzes a contract's risk to the business.
- Leads complex contract negotiations and manages all changes in and addendums to existing contracts.
- Other duties may be assigned in conjunction with skillset and experiences.
Qualifications
- Juris Doctor (JD) Degree required
- Must be actively licensed in Kentucky
- 3 years of prior legal experience with contracts
- Proven negotiation, drafting and analytical skills for various types of commercial contracts. Must be a skilled writer and drafter with a steadfast attention-to-detail.
- Strong oral and written communications, presentation, and facilitation skills. Must interact confidently, persuasively and diplomatically with all levels of organization.
- Demonstrated ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-faceted projects in a fast-paced environment, and be comfortable with minimal supervision.
