Paralegal
This position offers the opportunity to develop your skills within a multinational technology and services company by directly assisting internal counsel in reviewing contract terms and non-disclosure agreements, fulfilling corporate secretarial and governance duties, administering the legal department's matter management system, and assisting with the company’s insurance program.
Your responsibilities:
- Ability to work independently, be proactive and take initiative when needed within legal parameters.
- Review draft contracts for conformity with company requirements and assist with review and assembly of exhibits and annexes through various iterations, up to and including agreement execution.
- Generate, review and revise unilateral and multilateral/mutual NDAs for use with potential customers and suppliers.
- Administer and manage the legal department’s matter management and invoicing systems.
- Review and analyze matters for the purpose of preparing status reports.
- Prepare and organize corporate governance documents and company records.
- Assist in the preparation of and co-ordination of board and committee meetings and meeting materials.
- Draft various corporate resolutions, meeting minutes, agreements and legal correspondence.
- Assist with the preparation of annual disclosure documents.
- Maintain minutes books and summaries of the company and its subsidiaries/affiliates.
- Manage company insurance program in US and coordinate with global insurance program.
- Maintain business and contractor licenses and registrations nationally in US.
What you bring:
- 7+ years of experience as paralegal in either a corporate setting or law firm.
- Accuracy and attention to detail is a must.
- Experience with corporate governance & secretarial matters as well as risk management.
- Experience with contract preparation and management.
- Exceptional ability to organize and prioritize numerous tasks for completion within time constraints.
- Ability to proofread typed material for contextual, grammatical, typographical, or spelling errors.
- Calm approach and demeanor, and tact and diplomacy in interpersonal communications, are critical.
- Experience with Microsoft Suite of applications.
