Job Summary:
The Deputy General Counsel & Head of Contracting will provide complex legal advice, counsel, and representation to direct-support organizations of the Company as assigned by the Chief Legal Officer, to lead all commercial contracting matters and to build out the Company’s legal contracting team worldwide.
NovaSource is headquartered in Houston, TX and Chandler, AZ, and preference will be given to those located in the Houston or Phoenix area. For exceptional candidates, this position could be based anywhere in the United States.
Duties/Responsibilities:
- Provide counseling, advice, and day-to-day support for the legal contracting team to provide support to NovaSource’s nine jurisdictions throughout the world.
- Support the Chief Legal Officer to provide overall legal management and advice to the company.
- Lead NovaSource’s contract execution function.
- Provide legal advice and strategy regarding commercial transactional matters to senior and executive leadership and their teams in Technology, Business Development, Marketing, Operations, Finance, and Human Resources.
- Draft, review, and negotiate (inbound/outbound) commercial agreements.
- Create new agreements for new products, services, and business initiatives.
- Maintain and continually refine NovaSource’s library of template agreements.
- Constantly analyze and mitigate contractual risk, while increasing efficiency and consistency.
- Optimize NovaSource’s processes and guidelines for contract review, signature, management, and archival, including identifying and implementing improved workflows and best practices.
- Work with and manage robust outside counsel team to optimize the efficiency of reviewing commercial agreements.
Education and Experience:
- At least ten (10) years of experience in a corporate law practice with experience in commercial contracts and mergers & acquisitions.
- J.D. or LLM from a nationally recognized law school.
- Membership in at least one state bar.
- Outstanding written and verbal communication.
- Analytical skills with demonstrated strategic thinking and risk analysis.
- Excellent interpersonal skills.
- A commitment to teamwork, integrity, and collegiality.
- Ability to work effectively in a fast-paced environment under tight deadlines.
- Flexible and willing to approach legal challenges with an entrepreneurial mindset.
- Prior law firm experience or in-house experience at a U.S. multinational company highly preferred.
- Cross-border transaction experience a plus.
Travel:
- Occasional travel to customer locations as necessary for negotiations and relationship development; domestic and international travel required.
- If not located in the Phoenix area, travel to company offices will be required, approximately 25%.
