Summary

Custom Truck is looking for a corporate paralegal for our Kansas City location who has at least 3-5 years of legal experience and shows great initiative as well as a service mindset with the ability to work directly with internal clients. This person will report to the General Counsel and will work closely with Senior Management and all of Custom Truck’s Departments. Essential Duties and Responsibilities 

  • Assist in preparing and reviewing corporate documents, commercial contracts, leases, and purchase agreements.
  • Support governance matters for various companies, including maintaining company record books and drafting corporate documents.
  • Aid in various transactions, such as strategic, acquisitions, and financial, by conducting due diligence reviews, organizing data rooms, and managing post-closing actions.
  • Collaborate with the General Counsel on diverse legal matters.
  • Maintain Officers and Directors lists and coordinate with Tax Departments for annual report filings.
  • Draft written consents and ensure domestic and foreign entity compliance.
  • Liaise with departments to resolve regulatory and compliance issues.
  • Support drafting and revising commercial contracts.
  • Assist in pre-litigation disputes, including document collection, review, and production.
  • Identify and pursue opportunities for process improvements and assist in driving implementations.
  • Maintain organization of Legal Department files.
  • Support annual stockholders’ meeting, including proxy statement preparation.
  • Administer insider trading responsibilities, trading windows, and pre-clearance procedures.
  • Assist in managing outside counsel, including oversight of legal invoicing and the legal budget.
  • Aid in preparing and managing Board and Committee meeting schedules.
  • Maintain a high standard of confidentiality.


 Required Skills and Qualifications

Qualifications include:

  • High school diploma or GED; bachelor’s degree preferred.
  • Paralegal certificate from an accredited institution is beneficial.
  • Minimum of 3-5 years as a paralegal with corporate and transactional experience.
  • In-house experience is preferred but not required.
  • Familiarity with domestic entity compliance and annual report filings in U.S. jurisdictions.
  • Proficient in MS Office suite, especially Outlook, Word, Excel, and Teams.
