- Advise public and private companies on mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions
- Draft and negotiate a wide range of commercial contracts, including shareholder agreements, financing documents, and securities filings
- Provide legal counsel on corporate governance, compliance, and SEC-related matters
- Collaborate with internal and client stakeholders, including executives, boards, and investors
- Support capital markets transactions, venture capital financings, and other financing arrangements
- J.D. from an accredited law school and active license in at least one U.S. jurisdiction (admission to practice in the respective state is preferred)
- 4-8 + years of experience in corporate transactional law at a law firm or in-house legal department
- Strong academic background and demonstrated deal experience
- Exceptional writing, analytical, and negotiation skills
- Ability to manage multiple projects with attention to detail and deadlines
- Public company securities work (e.g., 1933/1934 Act compliance)
- Private equity, venture capital, or fund formation experience
- Cross-border M&A transactions
- Experience in highly regulated industries (e.g., healthcare, fintech, energy)
