Staff Attorney   Salary Range: $135,000 - $175,000/ Yr.

The Staff Attorney will provide day-to-day advice on a broad range of contractual issues and other legal matters. Under general supervision, carries out broad and complex assignments requiring comprehensive knowledge of the legal field and compliance including corporate, environmental, contracts, employees and intellectual property.

 

Essential Duties and Responsibilities include the following. Other duties may be assigned.

  • Prepare a portfolio of competitive, enforceable form agreements that protect the interests of the company and limit its exposure to liability.
  • Review, revise and update existing form agreements: NDA, Confidentiality and Employee Agreements, Service Agreements, Consulting Agreements and regular corporate reporting.
  • Draft internal policies to enforce legal compliance; Human Resources, Environmental, Corporate reporting.
  • Manage worldwide outside legal counsel resources; review and approve corresponding invoices.
  • Manage litigation and lawsuits; managing external litigation resources, interaction with insurer attorneys, asses and reduce risk of litigation.
  • Secure company intellectual property; internal and external IP agreements, patents, licensing activities, copyrights, trademarks and corporate reporting.
  • Review and renegotiate or terminate existing contracts that are not advantageous to the company.
  • Provide legal support to sales and business associates during contract negotiations and review.
  • Review and negotiate incoming non-standard agreements.
  • Review, interpret and provide advice on the company’s rights/obligations under existing agreements.
  • Prepare and maintain a risk analysis of existing contracts.
  • Effectively manage transactions to conclusion.
  • Collaborate with other employees in team problem solving.
  • Set up and maintain a contract database and ensure compliance with notice provisions and key terms of agreements, including execution process, translation of contracts in foreign languages, storage and retrieval, physical and electronic, and tickler file.
  • Review and negotiate real estate leases.
  • Perform legal research, analyze and advise on a broad range of business and legal affairs issues.
  • Perform other miscellaneous assignments in any general corporate area.
  • Assist with departmental and administrative functions and matters.
  • Represent departments or systems that are recognized as high risk in relation to the management of personal data.
  • Serve as member of the information governance committee.
  • Assist the Privacy Officer with day-to-day responsibility for compliance with the data protection policy, for example: data inventory, staff training and staff access, privacy notices, privacy impact assessments, etc.

Minimum Qualifications

  • California State Bar certified.
  • Excellent organizational and interpersonal skills.
  • Excellent oral and written communications skills and attention to detail.
  • Strong negotiating skills.
  • High ethical standards and trustworthiness with confidential matters are necessary.
  • Ability to manage numerous time-sensitive matters simultaneously and prioritize in a fast-paced environment.
  • Results-oriented, practical business and legal counselor able to meet tight deadlines and deliver timely, sensible results.
  • Ability to evaluate both business and legal risks of proposed and existing agreements and effectively resolve conflicts between the two in a manner that best serves the interests of the company.
  • Ability to grasp, evaluate and summarize complex transactional and contractual terms and conditions and effectively communicate complicated concepts to business associates.
  • Confident, professional individual comfortable working closely and exchanging ideas with senior executives.
  • Highly computer-literate in Excel and Word processing. Other databases a plus.
  • Must be able to follow-up with business associates and timely conclude pending matters.
  • Self-motivated individual who works independently with minimal supervision.
  • Ability to work professionally and efficiently with a variety of personalities and on multiple projects simultaneously.
  • A team player willing to change direction and assist with projects outside of normal responsibilities.
  • Must be willing to do some administrative work, such as set up a project file or copy a document for yourself.

Desired Qualifications

 

Education

Doctoral Degree Ph.D. from a four- year college or university is required, plus additional related experience, training and/or equivalent combination of education and experience.

Language Skills

Must have the ability to read, analyze, and interpret complex business, government and technical documents in English. Must have the capability to effectively respond to the most sensitive inquiries and/or complaints made by others. Must be able to write speeches and articles using original and/or innovative styles or techniques. It is imperative to make effective and persuasive speeches and presentations on controversial and/or complex topics to top management, and/or public groups.

 

Mathematical Skills

Must have the ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. May need to compute rate, ratio, and percent and to draw and interpret graphs.

 

Reasoning Ability

Must have the ability to define problems, collect data, establish facts, and draw valid conclusions. Must be able to interpret an extensive variety of technical instructions such as mathematical and/or diagram form and deal with several abstract and concrete variables.
