Securities and Exchange Commission See More Job Openings by This EmployerThe Division of Corporation Finance is seeking an Attorney Adviser (Structured Finance Attorney). As an Structured Finance Attorney you serve as a legal advisor responsible for a range of assignments in the Office of Structured Finance (OSF). OSF ensures compliance with securitization requirements under Regulation AB, Regulation RR, and relevant rules from the Securities Act of 1933, Securities Exchange Act of 1934, and the Dodd-Frank Act.
In this role as a Structured Finance Attorney, you will be responsible for:
- Conducting reviews of filings of asset-backed securities issuers to monitor compliance with offering, disclosure, and reporting requirements and identifying and assessing risks, issues, and trends related to securitization.
- Performing extensive and complex research and reviews of statutes, rules, and regulations related to asset-backed securities and rendering legal advice and assistance to other members of the Commission staff on a range of topics under the federal securities laws.
- Serving as a subject matter expert on the securitization market and federal securities laws that apply to structured finance products such as mortgage-backed securities and collateralized loan obligations, including by providing interpretive guidance to practitioners and other members of the public.
- Participating in the development of new or revised policies, rules, and programs relating to asset -backed securities under the Acts administered by the Division.
- Analyzing policy issues that arise as a result of market monitoring, rule proposals, or other Commission objectives.
- Establishing and maintaining effective working relationships and communication with Commission staff at all levels, representatives from Congressional offices, representatives from other governmental agencies, and market participants.
- CITIZENSHIP: You must be a US Citizen.

- DRUG TESTING: This position may be subjected to drug testing requirements.
- PERMANENT CHANGE OF STATION (PCS): Moving/Relocation expenses are not authorized.
- DIRECT DEPOSIT: All Federal employees are required to have Federal salary payments made by direct deposit to a financial institution of their choosing.
- TRIAL PERIOD: Consistent with 5 U.S.C. § 7511, you will be required to serve a two-year trial period (one year for preference eligible veterans) if the position to which you have applied is not the same or similar to your current position of record.
- You must possess a J.D. or LLB Degree and you must be an active member of the bar in good standing.

Qualifying experience may be obtained in the private or public sector. Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education. All qualification requirements must be met by the closing date of this announcement.
BASIC REQUIREMENT: All applicants must possess the following
- J.D. or LL.B. degree --AND--
- Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.
MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement.
SK-14: Applicant must have one year of specialized experience equivalent to the GS/SK-13 evel. Specialized experience includes:1. Identifying legal analysis regarding the application of the Securities Act of 1933 and the Securities Exchange Act of 1934; AND
2. Providing legal solutions/recommendations; AND
3. Preparing legal documents, including related to securitizations (e.g., mortgage-backed securities, collateralized loan obligations, and other types of asset-backed securities or structured finance products).
