As Legal Counsel (hybrid Ann Arbor) specializing in global M&A, you will provide legal support for global transactions that drive strategic growth. This role involves drafting and negotiating agreements, conducting due diligence, and ensuring compliance with international regulations. You will work closely with business leaders and external advisors to execute acquisitions, joint ventures, and other strategic deals across multiple jurisdictions.
Responsibilities
• Transaction Support: Assist in managing legal aspects of global M&A deals, including acquisitions, divestitures, and partnerships.
• Due Diligence: Conduct and coordinate legal due diligence with attention to TIC-specific regulatory and contractual requirements.
• Document Drafting & Review: Draft, review, and negotiate transaction documents such as purchase agreements, confidentiality agreements, and letters of intent.
• Regulatory Compliance: Ensure adherence to international laws, antitrust regulations, and sector-specific standards.
• Risk Assessment: Identify potential legal risks and propose mitigation strategies.
• Collaboration: Work with internal teams (finance, human resources) and external counsel to support deal execution.
• Integration Support: Provide legal guidance during post-merger integration.
- Corporate Governance Support
- Support corporate governance maintenance globally (annual filings, annual meetings, director appointments, etc.)
- Support internal governance updates including subsidiary ownership changes, director changes, and similar matters

Qualifications
Qualifications
• Juris Doctor (JD) or equivalent international law degree.
• Active license to practice law in Michigan (or ability to obtain within 6 months).
• Experience: 5-7+ years of legal experience with exposure to M&A transactions; global or cross-border experience preferred.
• Knowledge of corporate law
• Strong drafting and negotiation skills.
• Deep knowledge of M&A transaction structures and documentation
• Experience with public and private company transactions
• Understanding of securities laws, corporate governance, and regulatory requirements
• Familiarity with antitrust and competition law principles preferred
• Fluent in English; additional languages are a plus.
