Job Description

Essential Job Functions

Legal General

  • Leads and directs the administration of all contracts through the contract life cycle, including tracking of status of contract negotiations and maintenance of contract database.
  • Liaises with internal clients on contract transmittal and review process
  • Assists in preparation, review, drafting and negotiation of contracts and agreements between company and its customers whether standard or non-standard agreements, including vendor contracts, agent agreements, non-disclosures, and master service agreements.
  • Assists corporate counsel in managing relationships with outside counsel.
  • Organizes and maintains records and copies of executed agreements and other legal documents.
  • Assists in Labor and Employment matters as required.
  • Prepares demand letters and other litigation support documentation as required.
  • Writes policy and/or procedure documents as assigned.
  • Assists in identifying continuous improvement opportunities, particularly in contract management and administration

Real Estate

  • Reviews and negotiates leases, subleases, and amendments for real-estate related documents.
  • Engages with brokers, landlords and outside counsel on real estate matters.

Insurance

  • Actively engages with insurance brokers and underwriters on renewal negotiations and claims management.

Corporate Governance

  • Assists in corporate governance matters as assigned.
  • Assists and manages all state and country registrations.
  • Works with local counsel in the setting up of new entities in new countries.
  • Other duties as assigned

  • Ability to effectively communicate verbally and in writing with all levels of staff and management.
  • Ability to take initiative and accountability.
  • Strong organizational and multi-tasking skills.
  • Detail oriented, self-motivated, and the ability to work independently.
  • Ability to prioritize significant workload and timely respond to requests in a fast-paced environment.
  • Ability to work successfully in a team environment.
  • Must be highly proficient in Microsoft Office Suite, with emphasis on Microsoft Word, Excel and PowerPoint. Familiarity with contract management and administration software preferred.

Physical Requirements

  • Position may require extended periods of sitting, computer use, standing and walking.

  • Some light lifting may be required in some instances

Education & Experience

  • Bachelor’s Degree.

  • Minimum 5 years’ experience in contract management and administration.

  • Understanding of contractual agreement types, contract verbiage and the underlying risks and obligations.

Certification & Licenses

  • Professional certification may be required in some areas
