What the Role Is
The Corporate Paralegal will provide legal support for Heaven Hill’s corporate governance, regulatory compliance, contract administration, preparation and negotiation of company contracts. This position will also assist with corporate legal tasks with a focus on regulatory compliance filings and reporting, legal intake, contract management, contract drafting and template management, and general administrative tasks. This position reports to the Senior Manager, Legal Operations.
How You Will Spend Your Time?
- Prepare, file, and maintain calendar for various regulatory filings including but not limited to state and municipal licenses and/or permits, updating and maintaining corporate information with various Secretary of State offices for multiple entities, and other regulatory filings
- Assist Compliance function with maintenance and updates to customer contracts and territorial assignments in various Franchise states
- Assist Compliance function with monthly state activity reporting, as needed
- Maintain corporate records and Corporate Governance database
- Support the implementation of the legal intake platform by collaborating with internal stakeholders and third-party vendor to identify requirements, develop workflows, and test functionalities
- Train staff on the new legal intake platform and provide ongoing support to ensure efficient use of the platform in managing internal and external client intake processes
- Organize and maintain electronic contract database and physical files for all departments for national and international business
- Administer routine contract requirements, maintain contract calendar, track renewal deadlines
- Manage and monitor deadlines and expirations for contracts and advise relevant departments of actions needed
- Produce first drafts or mark-ups of NDAs under the guidance of supervising attorney
- Prepare, review, and negotiate company contracts, requests for proposals, and other legal documents under the guidance of a supervising attorney
- Conduct legal research and prepare summaries of findings as assigned by supervising attorney
- Handle information requests to and from other company personnel
- Manage special projects as assigned by Legal and Compliance Team Leads
Who You Are…
- Associate’s degree in Legal studies, Paralegal Studies, or a related field or paralegal certification from an accredited program required; Bachelor’s degree preferred
- Minimum 3 years of experience as a legal assistant or paralegal required
- 2 years of in-house corporate legal experience preferred
- Strong written and verbal communication skills
- Ability to communicate effectively with members of other departments in order to support their functions
- Strong organizational, analytical, and problem-solving skills, with the ability to assess information critically and make informed judgments
- Ability to manage a heavy workload and prioritize multiple projects with competing deadlines
- Proven experience with strong emphasis on customer service
- Strong attention to detail and accuracy
- Ability to work independently and as part of a team in a fast-paced environment
- Ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues
- Excellent computer skills with a proficiency in Microsoft Word, Excel, Outlook, and PowerPoint
Valued but not Required Skills and Experience:
- Alcohol beverage industry experience
