I. Job Summary
The Senior Counsel, Legal M&A will independently handle complex legal matters and projects related to acquisitions and divestitures. This position will be responsible for drafting and negotiating agreements related to acquisitions and divestitures including but not limited to non-disclosure agreements, letters of intent, term sheets, purchase and sales agreement and other ancillary documents.  Additionally, this position will provide counsel to the company on legal rights and obligations pertaining to transaction risk and benefits, transaction structuring, diligence and related matters. Experience in antitrust matters is a plus, but not a requirement. The Sr. Legal Counsel focus will be focused on M&A and report to the Assistant General Counsel, Mergers and Acquisitions and is located in Houston, Texas.

II. Essential Skills, Duties and Responsibilities
To perform this job successfully, an individual must have the skills and be able to satisfactorily perform the duties and responsibilities set forth below. Other minor duties and responsibilities may be assigned. 

Prepares, reviews and, negotiates legal documents on the Company’s behalf, and assists management in representing the organization in legal transactions involving acquisitions, divestitures, joint ventures and minority investments.
Specialized knowledge as to contract, corporate, mergers and acquisition, and antitrust. 
Provides general legal advice and counsel to management (Corporate, Market Area and/or District level) for strategy, including business developers and CD&I. 
Independently draft key transaction documents such as non-disclosure agreements, letters of intent, purchase and sale agreement, joint venture and governance documents and other ancillary agreements for mergers and acquisitions. 
May be responsible for management of outside counsel activities as necessary.
May work at the Corporate level or as directed within an Area.
Ability to provide proactive legal and practical business advice to internal clients.
Ability to negotiate, draft and close purchase and sale, joint venture, investment and other transaction agreements with minimal outside counsel support.
Ability to provide counsel on antitrust matters related to mergers, acquisitions and divestures.
Interfaces with numerous departments and functions within the Company to work effectively and provide a high-level of service to our business partners.

III. Supervisory Responsibilities
This job has no supervisory duties but may occasionally act as a team lead and manage work of less experienced attorneys.

IV. Qualifications
The requirements listed below are representative of the qualifications necessary to perform the job.

A. Education and Experience
 

Juris Doctorate and six (6) or more years of previous experience with law firm or as in-house counsel.

Antitrust

Due Diligence
 

B. Certificates, Licenses, Registrations or Other Requirements
 

State Bar Licensure.
