The Role
Cypress Creek is currently seeking a transactional paralegal to join the Company’s legal team. This individual will be responsible for providing legal support for project finance and M&A transactions and procurement contracts. The position will report directly to a Senior Counsel. The candidate is expected to work out of one of Company’s offices, but applicants with significant experience and exceptional recommendations can be considered for remote work arrangements.
Essential Duties and Responsibilities:
- Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including corporate and project financings and M&A transactions.
- Assist attorneys in the review and drafting of various legal documents including disclosure schedules, certificates, resolutions and other ancillary documents.
- Manage closing checklists.
- Manage transaction files and prepare closing sets.
- Coordinate diligence efforts on both project finance and M&A transactions, working closely with the company’s finance and development teams.
- Obtain lien and litigation searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. File documents necessary to perfect a secured loan transaction.
- Conduct research on a variety of topics.
- Assist lawyers with preparing compliance checklists for ongoing transaction obligations
Requirements
- A bachelor’s degree
- 2 years of paralegal experience, preferably in a large law firm setting or an in-house legal department
- Experience with transactional paralegal work, preferably finance or M&A
- Strong work ethic and ability to self-start in a fast-paced environment
- Strong organization and communication skills
- Strong attention to detail
- Desire to take on responsibility
- Ability to work with little supervision and to seek help when needed
Locations: Preference to be based in an East Coast location: Durham, NC, Asheville, NC, Washington DC or NYC.
