Job Description

This position is based out of our Louisville, KY office.


What the Role Is 

Under the direct supervision of Senior Corporate Counsel, the Corporate Attorney will provide comprehensive legal counsel and legal risk analysis on a variety of topics as assigned. The individual in this position will draft, negotiate, and review various types of commercial transactions and company contracts with a particular focus on commercial agreements for Sales and Marketing teams, provide advice and support on beverage alcohol trade compliance matters (including regarding coupons, sweepstakes/contests, and other promotions), research and track regulatory issues, liaise and advise various business units in the U.S. on federal, state, and municipal laws and regulations across multiple jurisdictions, and work on special projects as assigned. 

The ideal candidate will possess strong academic credentials, exceptional analytical and communication skills, experience with regulatory compliance in the alcoholic beverage industry, proficiency in drafting and negotiating business documents, strong organizational abilities, and the capacity to provide independent, real-time advisement while managing multiple projects collaboratively

How You Will Spend Your Time?

  • Prepare, review, and negotiate company contracts, requests for proposals, and other legal documents in light of business needs, company risk tolerances, internal policies, standard operating procedures, and applicable laws to mitigate risk and ensure compliance with company policies and strategy
  • Become a subject matter expert in Company’s contract management process and drive efficiencies in the contracting process; implement and update standard contract terms and templates
  • Advise Sales, Marketing, and other business units on regulatory compliance requirements and best practices on state and federal beverage alcohol trade practices (including coupons, sweepstakes/contests, advertising specialty items, samplings and tastings, etc.)
  • Join Senior Corporate Counsel and other Legal & Compliance team members in preparing and presenting regularly scheduled trade compliance training sessions to Sales and Marketing business partners
  • Assist members of the Legal & Compliance team with corporate legal tasks with a particular focus on commercial transactions, regulatory research, mergers and acquisitions, data privacy, intellectual property matters, field trade compliance, and drafting of policy and procedure
  • Act as the primary advisor and business partner to certain divisions of Sales and Marketing, which include the marketing procurement department and Heaven Hill’s various visitor center teams
  • Assist Senior Corporate Counsel in provision of guidance to relevant internal business teams relating to various state data privacy regulations
  • Interpret laws, rulings and regulations, and advise Company on legal rights, remedies and options, as such may relate to federal, state, and local field trade compliance
  • Review existing contractual agreements and advise Company business teams on available rights and remedies with respect to such agreements
  • Work closely with Senior Corporate Counsel and other members of the Legal & Compliance team to provide legal support to senior management of the Company as needed
  • Handle information requests to and from other Company personnel including requests related to commercial transactions and discovery for litigation
  • With other members of the Legal & Compliance Department, support Human Resources to advise on various personnel matters
  • Assist in acquisitions including due diligence review, record keeping, and integration
  • Manage other duties and special projects as assigned by Senior Corporate Counsel

Who You Are… 

  • Bachelor’s Degree in related field required
  • J.D. or LLM required from an ABA-accredited law school
  • Current Bar License (licensed to practice law in the Commonwealth of Kentucky or otherwise eligible to obtain a certificate of admission)
  • Minimum 3 years of experience required with a law firm or in-house, with specific experience in commercial contracting
  • Food and beverage industry experience strongly preferred but not require
  • Commercial contract drafting, review, and negotiation experience 
  • Excellent computer skills, with proficiency in Microsoft Word, Excel, PowerPoint, and Outlook
  • Familiarity with emerging generative AI technologies, including ChatGPT
  • Strong oral and written communication skills, including the ability to present complex legal matters in a digestible format to lay audiences
  • Strong organizational skills, attention to detail, and problem-solving skills with a commitment to meeting deadlines
  • Ability to manage a heavy workload and prioritize multiple projects with competing deadlines
  • Self-starter with ability to work autonomously while functioning well in a collaborative team environment
  • Ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues
  • Ability to communicate effectively with members of other departments in order to support their functions

Valued but not Required Skills and Experience:

  • Alcoholic beverage industry experience, including familiarity with the Three Tier System 
  • Labor and employment law
  • Familiarity with generative AI algorithms, potential use cases, and the risk landscape associated with such tools
  • Familiarity with data privacy regulations

Physical Requirements

  • While performing duties of job, employee is required to stand for extended periods, up to 8 hours per day; walk; use hands and fingers to handle, or feel objects, and use of computer; reach with hands and arms.   Employee must occasionally lift and/or move up to 20 pounds.
