About the Role

We are looking to add an experienced attorney to advise on a broad range of business activities, with a focus on negotiation and preparation of sales contracts. Other responsibilities may include assisting with partner, vendor and other commercial contracts; providing counsel and support to sales, account management, product and technology leaders; and liaising with third party specialists regarding intellectual property, technology, security and regulation matters. This position will report directly to InvestCloud’s Chief Legal Officer.
How you will provide meaningful contributions:
- Provide legal support across the firm with a primary focus on commercial contracts, litigation and risk support and general corporate law.
- Negotiate, draft and finalize commercial, SaaS subscription and related agreements for the sale of InvestCloud’s products in the U.S. and internationally, and provide assistance as needed on partner, vendor and other commercial contracts.
- Oversight and management of litigation an dispute management at InvestCloud, working in collaboration with legal and business colleagues to effectively mitigate risk, control costs and support delivery of business objectives.
- Collaborate with sales, finance and legal colleagues to identify and drive practices to increase throughput and efficiencies in revenue production.
- Ensure compliance with company policies and procedures when working with other business stakeholders on deals and projects.
- Assist with other legal and compliance matters as needed.
- General legal research and support.
Basic Qualifications for Consideration:
- JD degree and member in good standing of bar within a U. S. State.
- Minimum of 10 years’ experience; demonstrating a mix of commercial, corporate and litigation experience, with strong preference for candidate with law firm and in-house experience, and experience managing legal processes and professionals.
- Substantial relevant experience managing SaaS subscription deals and working with members of the sales team to drive deals from inception to close.
- Experience establishing efficient practices to drive efficient operations within legal department.
- Broad exposure to U.S. data privacy laws and regulations and working knowledge of international data privacy frameworks (e.g., GDPR).
- Knowledge and experience in IP law, including aspects of SaaS delivery models.
- Strong business acumen with ability to align legal strategies with business goals.
- Eagerness to help and to find creative ways to solve problems for business teams.
- Excellent writing, oral communication, organizational, interpersonal and project management skills.
- Eager to take on challenges and learn new skills and areas of law and business.
- Ability to work with limited oversight and manage time and relationships.
- Comfortable navigating complicated and nuanced legal issues.

The actual salary will vary based on applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on the applicant’s geographic location. Salary range: $200,000-$225,000.
