Job Summary:

Rockland Trust has an opportunity for a highly organized and motivated corporate Paralegal to join the Rockland Trust legal team. Rockland Trust, founded in 1907, is a highly regarded community bank with a growing presence across Massachusetts, Southern New Hampshire and Rhode Island. This role supports the Office of General Counsel and Corporate Secretary and the entire Legal Team by performing a variety of corporate paralegal and paraprofessional duties, including Board of Director and Corporate Secretary-related administrative tasks. Duties additionally include  supporting the effective and efficient functioning of the broader legal function across the enterprise by working closely with and collaborating with the Legal Team across a variety of matters. The ideal candidate will be detail-oriented, professional, adaptable, and passionate about contributing to the success of a mission-driven, community-focused financial institution.

Key Responsibilities:

  • Work under the direct supervision of the General Counsel to support the day-to day work of the General Counsel and the other attorneys in the Office of the General Counsel. 
  • Receive, direct, track, and manage requests for legal advice and/or services from internal stakeholders as well as general inquiries from internal and external stakeholders.
  • Assist in the preparation of Board and Committees of the Board agendas and meeting materials, including keeping track of corporate housekeeping matters related to the Board and its Committees.
  • Perform Board of Directors administration duties, including serving as a point of contact for and interfacing with individual Directors, undertaking administration and collection of annual director questionnaires and other required forms, calendaring and logistics support for Board of Directors and Board Committee.
  • Perform administration duties for certain Management Committees, including serving as a point of contact for and interfacing with bank employee Committee members, organizing Committee meeting agendas and materials, calendaring and logistics support for Committee meetings, and managing the storage and maintenance of Committee documents.
  • Perform legal work and legal research under the supervision of an attorney, as needed.
  • Assist with corporate maintenance and calendaring, assist with submissions to bank regulators, draft officer certificates, and support shareholder and governance matters.
  • Maintain accurate and organized legal files, including corporate minutes books, Board materials, management Committee materials, regulatory documents, trackers, litigation files, and corporate governance records.
  • Support review and response to subpoenas and legal proceedings, under the supervision of an attorney, and provide other litigation support including assisting with quarterly accruals for financial reporting purposes and litigation/claims summaries, and liaise with outside counsel and vendors when needed.
  • Work closely and coordinate with bank personnel in other departments such as the Executive Leadership Team, Investment Management Group, Commercial Lending, Human Resources, Finance & Treasury, and Technology & Operations to assist with legal-related tasks and to support the day-to-day legal needs of the bank.
  • Other duties and special projects as may be assigned.

 

Qualifications:

  • Bachelor’s degree required; Paralegal Certificate from an ABA-accredited program preferred; Notary a plus.
  • Minimum 3–5 years of experience in a paralegal role within a financial institution, corporate legal department of a law firm, or similar regulated environment.
  • Strong understanding of fiduciary concepts, corporate matters, contracts, and fraud-related legal matters.
  • Experience working in a banking or financial services environment is highly desirable.
  • Understanding of corporate law, governance, and regulatory compliance—especially in a financial or banking context—is a plus.

  • Ability to manage multiple priorities, competing demands, and meet deadlines;
  • Proficiency with all MS Office applications, including Word, Outlook and Excel, Boardvantage, Acrobat and Zoom and Teams meeting administration; experience with Computershare shareholder meeting platform, contract or legal management software is a plus; and ability to learn new database and applications as deployed; and
  • High level of integrity, ability to execute discretion, attention to confidentiality, keen business acumen, sound professional judgment, eager to grow and learn in skill and knowledge.
