Support company attorneys and other risk management personnel as required. Assist with compliance, including regulatory licensing filings (state engineering, construction, certificates of authority, business permits etc.) and maintaining corporate entity licensing records. Assist with corporate compliance program, including due diligence screening and reporting. Assist in record keeping and maintaining proposal and contract files in accordance with established guidelines. Prepare, review, negotiate and revise certain contracts and corporate documents, including but not limited to, non-disclosure agreements, powers of attorney, purchase orders and policies and procedures. Support litigation and electronic discovery as needed.
SUPERVISORY RESPONSIBILITIES
Supervise support staff when used in special projects.
EDUCATION
Bachelor’s degree preferred; paralegal certificate preferred.
QUALIFICATIONS AND EXPERIENCE
Minimum ten (10) years’ experience as paralegal in corporate legal department or relevant law firm experience. Paralegal certification is preferred but not required. Advanced knowledge of MS Office (Word, Excel, PowerPoint) and Outlook. Knowledge of negotiating and contracting. Knowledge of corporate entity structures, transactional agreements, corporate licensing, compliance programs and corporate records. Self-directed and able to manage multiple tasks and priorities and respond to changing demands. Strong organizational and interpersonal communication skills. Strong understanding of corporate legal practice, including difference between entity types and ownership interests. Compose business letters, memoranda, summaries, reports, and presentations using proper format, grammar, punctuation, diction, and style. Maintain strict confidentiality. Strong written and oral communication skills.
TYPICAL DUTIES AND RESPONSIBILITIES
- Oversee corporate entity licensing (state engineering, construction, certificates of authority, business permits etc.), including maintaining expiration date tracking, filings and copies of licenses. Work cooperatively with Treasury team regarding associated licensing bonds.
- Assist with due diligence review process and compliance, including screening new prospects and reporting on results.
- Prepare, review, negotiate and revise certain contracts with attorney oversight, such as powers of attorney, non-disclosure agreements, and purchase orders.
- Assist with transactional due diligence review process and manage closings of mergers and acquisitions and other types of transactions.
- Draft and file corporate formation documents, conversions, dissolutions and reorganization documents of corporations, partnerships and limited liability companies and other entities in multiple jurisdictions.
- Draft partnership and other entity agreements, regulations, and by-laws.
- Support litigation and electronic discovery process.
- Assist in contract/document control and management.
- Draft routine correspondence, litigation holds, responses to legal demands and notices.
- Support team in ad hoc research and projects as necessary.
- Maintain legal files pursuant to records retention policy.
LANGUAGE SKILLS
Ability to read, comprehend, analyze, and write legal documents. Ability to read, comprehend laws and regulations. Ability to articulate legal position and arguments in negotiations.
MATHEMATICAL SKILLS
Ability to apply concepts such as fractions, percentages, ratios to practical situations. Ability to work with probability and statistical inference in practical situations.
PHYSICAL DEMANDS
Normal hearing (uncorrected or corrected), ability to stand, walk, reach, climb and balance, clear close and distance vision (uncorrected or corrected), depth perception and the ability to focus. Lifting up to 25 pounds may be required.
WORK ENVIRONMENT
Normal work environment will be a business office with moderate noise. Occasionally may visit project locations. Visits to project sites may require exposure to outdoor weather conditions, loud noise, work near moving mechanical parts, electrical energy, construction equipment, vibration, fumes, chemicals, and airborne particles.
