Job Description

Job Summary:
Boyd Jones is seeking a proactive, high-energy attorney to fill the newly created position of Corporate Counsel, which will report directly to the company’s General Counsel & Secretary. Candidates will work in a fast-paced environment where they will drive legal activities forward while constantly learning and planning for future company needs.
 
Essential Job Responsibilities:
  • Core responsibilities will focus on construction/EPC contracts, federal contracting, NDAs, risk management, litigation management, corporate/financing transactions, and labor/HR/OSHA regulations with potential for real estate transactions and work in the renewable energy sector.
  • Provide guidance on compliance with Boyd Jones policies, governance, entity management, labor & employment, ethics & compliance, compliance with laws including intellectual property, competition, and procurement laws.
  • Assist General Counsel in management and development of company contracting and contract management policies and procedures
  • Assist General Counsel in acquisitions, dispositions, financing and tax equity investments.
  • Monitor legal and contracting trends in the construction industry.
  • Manage outside counsel in coordination with General Counsel.
 
Knowledge, Skills, & Abilities:
  • Possess strong drafting and negotiation skills with experience in complex negotiations.
  • Ability to coordinate claims with insurers or outside counsel when claims or disputes arise that require such coordination, including the document production process.
  • Experience with corporate and commercial transactions
  • Strong knowledge of construction and/or renewable energy industry a plus.
  • Robust commercial/business acumen.
  • Proven ability to communicate effectively at all levels of an organization.
  • Aptitude to identify and manage risk inherent to projects.
  • Effective interpersonal communication skills to interact with clients, subcontractors, and colleagues in a collaborative, rational, down to earth and productive fashion.
  • Personal aptitude to thrive in a dynamic, fast-paced environment and manage competing demands with tact and diplomacy.
Experience & Education:
  • Juris Doctorate ( JD) degree from an accredited law school is required
  • 2+ years experience
  • Experience with corporate and commercial transactions
  • Experience in construction, renewable energy and/or project finance a plus
