Senior Commercial/Transactional Counsel

Responsibilities:
- Draft, review, and administration of all types of commercial contracts and legal documents, including CDAs, material transfer agreements, service agreements for research, development, and manufacturing, license agreements, collaboration agreements, sponsor research agreements, opinion letters, etc.;
- Revise and negotiate client contracts to support the Business Development (BD) team when necessary;
- Create and update contract templates or other legal documents when necessary;
- Support contract review and negotiations for other business contracts such as all types of intellectual property agreements, real estate transactions, acquisitions, and mergers as needed.
- Perform legal research using available resources, libraries, and data systems;
- Formulate and prepare well-rounded written and verbal opinions for business teams;
- Advise and communicate regularly with business and management teams in person, via phone, email, and written correspondence regarding the status of their projects;
- Attend meetings with overseas business and legal teams when appropriate, often during evening hours;
- Provide legal advice on general and specific legal topics to support BD, Sr. Management and other functions for daily business operations;
- Maintain contract database on the Salesforce system;
Qualifications:
- J.D. degree from an ABA-accredited law school is required;
- 3-7 years of experience at a law firm or within an in-house legal department is required, a top-tier law firm experience representing biotech, chemical, life science & technology clients is a plus.
- Expertise in negotiation techniques, contract law, contract drafting, licensing, intellectual property and project management;
- Excellent contract review, and drafting negotiation skills;
- Strong project management skills;
- Commercial solution-oriented thinking with a focus on exceptional client service
- Ability to analyze complex legal issues and provide legal advice;
- Ability to understand, and accurately articulate and document, complex transactions;
- Strong verbal & written communication skills with a high ability to influence and negotiate in dealing with any clients, excellent interpersonal skills;
- Ability to assess the size and scope of contemplated transactions and to tailor contracts and negotiation efforts accordingly;
- Understand “need to know” and structure communication accordingly, win commitment and enthusiasm;
- Proven ability to work effectively with tight time pressures & demanding clients
- Demonstrate professional & culturally sensitive work ethic;
- Well-trained experience in cross-function communication skills, ability to work in a team effectively with colleagues in other functions;
- Proactive, hands-on approach identifying areas for improvement and problem-solving skills;
- Identify potential risks in the contracts and develop solutions that meet business needs in reality;
- Demonstrate a sense of urgency in responding to business needs;
- Commit to challenging goals and deliver on them.
