Corporate Counsel

Summary

The Corporate Counsel will be responsible for identifying and analyzing legal issues, drafting key documents, and handling day-to-day Company legal matters.  Transactional work will include review, negotiation, and drafting a wide range of documents associated with commercial transactions, including agreements with vendors and customers.  Responsibilities will include providing legal advice in other substantive areas common to a large global food manufacturer, including, but not limited to: compliance, food regulatory, intellectual property, employment, bankruptcy, real estate, and litigation matters.  The successful candidate will be able to understand the Company’s business thoroughly and provide practical legal solutions in furtherance of corporate goals.

Essential Functions

  • Provide analysis and counsel on Company policy and regulatory issues.   Involvement with protection of intellectual property, nondisclosure agreements, outsourcing agreements, due diligence with respect to mergers and acquisitions involvement with strategic business planning.
  • Oversee the Legal Department’s role in the Company Supplier Qualification Process, including but not limited to reviewing and negotiating procurement contracts and supplier insurance requirements.
  • Provide legal counsel to the Company or its Officials in various legal proceedings on issues arising from actual or anticipated lawsuits as well as federal, state, and local government inquiries.
  • Anticipate and guard against legal risks facing the Company.
  • Develop and recommend company and operating policy, procedural improvements, and position on legal issues.
  • Conduct and coordinate research into a variety of legal issues and provide advice on day-to-day Company legal issues.
  • Prepare legal pleadings, motions, discovery, and stipulations.
  • Write, review, and edit reports, opinions, correspondence, articles, and other documents.
  • Some travel may be required.
  • Perform other duties or special projects as assigned.

 

Qualifications 

 

  • J.D. from an American Bar Association (ABA) accredited law school and a good-standing member of the state bar (Illinois preferred).
  • One (1) to five (5) years of experience in the foregoing functional areas at a law firm or prior in-house position, preferably with prior experience handling commercial disputes, including insurance and risk management matters, mergers and acquisitions, commercial transactions, litigation, and/or intellectual property matters.
  • Sound business judgment and strategic thinking ability with flexibility to work on a variety of projects simultaneously and under deadline pressures independently or as part of a team.
  • Excellent communication, business writing, and organizational skills, and general knowledge of Adobe applications, Microsoft Office, Excel, and legal research services. 

 

Work Environment

  • General office setting (In-office;  Remote work is limited)
