Temple Health is seeking an Assistant General Counsel & Assistant Secretary to serve in Temple Health’s Legal Department. Reporting to Temple Health’s Associate General Counsel & Assistant Secretary, and working closely with Temple Health’s Chief Executive Officer, Chair of the Board of Directors and Executive Leadership Team, this Assistant General Counsel will serve as one of two primary governance attorneys for Temple Health, and will be responsible for ensuring that Temple Health’s governance documents, including bylaws and charters, Board and Committee meeting materials, resolutions, agendas and minutes are prepared, documented and recorded consistent with the standards of a world-class academic medical system. This attorney will support the oversight of Temple Health’s conflict of interest management program within Temple Health’s governance structure, including managing the conflict of interest disclosure and review process for members of the Boards of Directors of Temple Health and its affiliates.
This is an excellent opportunity for an attorney with 3+ years of experience in a law firm or in-house setting to develop governance, corporate and healthcare law expertise. Temple Health is governed by a Board of Directors, Committees of the Board of Directors, Boards of Directors of affiliated and subsidiary entities, including hospitals and research institutions, foundations and related Committees totaling more than 20 bodies. This Assistant General Counsel & Assistant Secretary will manage all aspects of board and committee management, providing governance counsel and support in a rigorous and collegial legal department serving an academic medical center with challenging and impactful legal issues. A background in corporate, transactional, tax, sophisticated commercial litigation and/or non-profit law would be a strong foundation for this role. Critical for success in this role are strong communication, drafting and organizational skills and a desire to advance the legal and governance interests of a leading academic medical center and its mission of providing the highest quality medical care in the Philadelphia community and supporting world-class medical research.
Specific responsibilities include:
• Organizing, planning and attending Board and Committee meetings in conjunction with Temple Health executives and Board and Committee Chairs; availability to attend occasional early-morning and evening Board and Committee meetings is required;
• Preparing and reviewing materials for Board and Committee meetings, including executive presentations, resolutions, meeting minutes and other governance documents, which adhere to laws and regulations applicable to an academic medical center and to a high-profile non-profit organization;
• Overseeing and implementing various conflict of interest and conflict of commitment policies applicable to members of the Board of Directors, Committee Members and executive management;
In addition to excellent written and oral communication skills and attention to detail, the preferred candidate will demonstrate first-rate analytical ability, strong initiative, intellectual curiosity and both interpersonal skills and client-service skills consistent with the highest professional standards.
The preferred candidate will have all or most of the following attributes and experience:

Can resolve, or lead the resolution of, critical legal issues faced by Temple Health and its leadership with a focus on identifying and adding enterprise value.
• High level of industry. Shows a self-reliant work ethic and a high level of productivity and efficiency.
• Solid, self-assured leader. Demonstrates effective leadership skills and instincts.
• Strong communicator and collaborator. Communicates and collaborates effectively and skillfully with colleagues and clients, both orally and in writing.
• The preferred candidate will have experience managing complex legal issues. Experience in healthcare, regulatory, corporate or litigation would provide a strong foundation for this role.
Qualifications
• Holds a J.D. with excellent academic credentials.
• Brings 3+ years of experience in a top law firm and/or sophisticated corporate legal department.
• Legal experience advising clients in a corporate, transactional, sophisticated commercial litigation, tax and/or non-profit setting is desirable but not required. This is an excellent opportunity for an ambitious attorney with experience in a law firm or in-house setting to learn and grow governance and corporate skills in a fast-paced, demanding environment with colleagues practicing law at a high level in support of sophisticated clients at a leading academic medical center.
• Has a current Pennsylvania bar admission or admission in another jurisdiction with the ability and interest in becoming licensed to practice in Pennsylvania.
