
Job Description
Full-time, fully remote position in the legal department specializing in employee benefit
administration including consumer driven health benefits and ERISA and Non-ERISA
retirement plans. Regularly works 8 AM to 5 PM, Monday through Friday with 40 hour
work week until all work is completed. This position is full time, salaried, and exempt.
Duties
Provide legal counsel to senior management, operational teams, and other
departments on a variety of matters, including contracts, regulatory compliance,
employment law, data privacy, and intellectual property.
Review, draft, and negotiate contracts, including service agreements, vendor
contracts, client agreements, and partnership agreements.
Advise on the legal implications of business strategies, corporate governance, and
risk management practices.
Assist with the review of legal documents concerning employee benefit plans and
employee-related programs, including summary plan descriptions, participant
communications, and claim appeal responses. Analyze Consumer Driven Health
plans, and ERISA and non-ERISA retirement plans to ensure compliance with
applicable law
Stay up to date with changes in relevant laws and regulations and assess their
impact on company operations.
Fulfill consulting engagements related to HIPAA Privacy and Security consulting
including drafting policies, procedures, forms, and compliancy reports
Provide compliance checklists, model letters and other consulting tools needed to
support Relationship Managers
Versed in EPCRS and Voluntary Correction Procedures (VCP) under ERISA
Provides the company with well-researched information that allows the client to
take appropriate actions that conform with changes in legislative or regulatory
environment
Interpret source materials and provide guidance regarding the regulatory impact
on Consumer Drive Health plans and retirement plans
Counsel and advise the company on complex employee benefit laws and help
design internal policies to minimize legal risks and exposure.
Prepare and conduct employee training including continued education courses for
internal employees on topics of state and federal law, including HIPAA compliance,
ethics, and privacy laws
Provide strategic advice on employee benefit legal issues
Engage with outside counsel to efficiently deliver legal expertise to NBS when
needed
Evaluate and communicate legal risks associated with employee benefit legal
matters
Manage employee benefit advice and litigation handled by outside counsel
Perform other duties as assigned by President or CEO
Qualifications
A successful candidate will cultivate and possess the following qualifications:
Detailed knowledge of ERISA, HIPAA, Affordable Care Act (ACA), COBRA, Internal
Revenue Code requirements, and laws and regulations governing qualified Health
Plans and retirement plans
Experience drafting, reviewing and/or revising Consumer Driven Health plan
Documents, SPDs, employee communications, and related Board
resolutions/materials
Strong project and time management skills
Experience advising on matters related to insurance law, claims administration,
data privacy, and corporate governance is highly preferred.Demonstrates skillful
insight into critical business problems and emerging legal issues
Proven ability to render timely and sound legal advice within applicable legal
principles
Current knowledge of employee benefits is preferred
Strong interpersonal skills and the ability to build relationships across all levels of
the organization.Experience with IRS and DOL audits including applicable
correction program options
Experience with Consumer Driven Health plans
Ability to work independently and manage multiple prioritiesAbility to understand
and resolve complex legal issues and respond quickly to clients and third parties
Strong analytical and problem-solving skills with the ability to think strategically.
Serve as a trusted legal advisor in day-to-day business operations, offering
solutions that align with business objectives and mitigate risk.Ability to deal
effectively and tactfully with management and operations personnel, customers,
contractors, in-house and outside attorneys, opposing counsel, regulatory
agencies, representatives from other organizations, and the general public
Ability to maintain discretion when working with confidential and sensitive
information is essential
Strong sense of ethics and integrity and the ability to develop a relationship of
trust and confidence with colleagues throughout the organization
Solid financial and business acumen and the ability to develop practical solutions
that take account of underlying business objectives
Strong research and writing skills
Experience drafting legal memoranda
Demonstrate leadership ability

coordinate the work of self and others to meet deadlines
Professional and articulate in both verbal and written communication
Ability to promote and facilitate communication with leadership and other
departments
Ability to accommodate a flexible work schedule and may be expected to work
more than 40 hours per week at times
Strong computer skills including typing and proficiency in Microsoft Word, Outlook,
and Excel
Education and Experience –
Juris Doctor (JD) degree from an accredited law school
Licensed to practice law in Utah (or the ability to become licensed within a
reasonable time)
A minimum of 5 years of relevant experience, preferably with a focus in the
insurance, employee benefits, or third-party administrator sector.
Strong knowledge of state and federal laws and regulations affecting TPAs,
insurance, privacy, and employment law
Proven experience in contract law
Physical Requirements – This position requires the employee to be seated the majority
of the work time.
