Job Description

General Summary

This position serves as a member of the Transactions and Regulatory Practice within the Office of General Counsel (OGC). Reporting to the Chief Transactions and Regulatory Counsel for practice group-level matters and with a dotted-line reporting relationship to the UMMC Vice President and General Counsel, this role is responsible for providing legal counsel and advice to the corporate officers, managers, and employees of the System and its various subsidiaries and affiliates. While the primary focus of this position is to prioritize and address legal matters for the University of Maryland Medical Center and the University of Maryland Medical Center – Midtown Campus (collectively, “UMMC”), the role also includes broader involvement and exposure to the larger UMMS enterprise through the Transactions and Regulatory Practice’s collaborative work and responsibilities. The successful candidate will ensure that UMMC projects and matters receive the highest priority, while also engaging in legal projects that advance the strategic and operational goals of the System as a whole.

Principal Responsibilities and Tasks

The following statements are intended to describe the general nature and level of work being performed by people assigned to this classification.  They are not to be construed as an exhaustive list of all job duties performed by personnel so classified. Specific responsibilities may vary based on expertise and specialty of the individual (e.g., regulatory, contracting, transactions).

  1. Contract work, including, but not limited to, drafting/reviewing/negotiating vendor contracts, health care provider arrangements, licensing agreements, leases, managed care contracts, research agreements, recruiting and placement contracts and consulting agreements.
  2. Regulatory work, including, but not limited to, researching and interpreting federal and state laws, regulations, interpretive guidelines and case law related to corporate and health care issues.
  3. Perform due diligence related activities in connection with mergers and acquisitions.
  4. Prepare and file regulatory documents in connection with health care transactions.
  5. Frequent interactions with other internal stakeholders across functional groups.
  6. Develop, review and/or revise corporate policies and procedures.
  7. Corporate compliance work including investigating internal issues and interpreting applicable law.
  8. Review, evaluate and render legal determinations concerning internal programs or projects and the implementation of state and federal government and accreditation requirements.
  9. Support transaction and regulatory attorneys on projects.
  10. Review inquiries/complaints from state and federal administrative, regulatory and other governmental or accreditation agencies, perform necessary research of the law and internal practices, coordinate, draft, and negotiate the response and/or reviewing responses to the government agency.
  11. Other duties as assigned.

 

Qualifications

 

Scope of Position

  1. The responsibilities of this position require the individual to research, analyze, evaluate, interpret and resolve issues and problems. Further the individual guides and advises corporate officers and managers to ensure they are fully aware of the legal ramifications of their actions and decisions and advises them as to the applicable legal requirements or precedents.
  2. The individual in this position must remain current with legal issues affecting the System and the health care industry.
  3. The individual acts within corporate policies and guidelines and according to the tenets of behavior of the legal profession. 

Education and Experience

  1. Juris Doctor Degree from an accredited law school.
  2. Admission to the Bar of a state or the District of Columbia, Maryland Bar preferred.
  3. Between one to three years of progressively responsible experience practicing as an attorney, healthcare experience is preferred.  Candidates with adjacent experience in general contracts and transactions will be considered.

Knowledge, Skills and Abilities

  1. Current knowledge of health care-related legal issues including but not limited to HIPAA Privacy and Security compliance, medical legal issues, State of Maryland and federal reimbursements for hospitals, Medicare, Medicaid, The Joint Commission, Stark and anti-kickback legislation and state regulations relating to the delivery of health care.
  2. Proven organizational skills; ability to provide advice about legal requirements in specific contexts and find ways to meet them while pursuing operational objectives.
  3. Highly effective verbal and written communication skills that would enable the individual to successfully deal with medical staff, management, residents, executive staff, other management personnel at all levels, regulators, the media, other attorneys and the community.
