About the Role
Flow is seeking a motivated Real Estate Counsel to join our dynamic and growing legal team. This role will support our growing real estate activities and can be based in either Miami or New York City.
You will support a wide range of real estate transactions, including acquisitions, sales, leasing, financing, and other dispositions. The ideal candidate will have significant experience handling these matters from inception to closing as well as a forward-looking mentality seeking to employ AI and cutting-edge technologies to streamline Real Estate processes and create greater efficiency in the legal department.

Responsibilities
- Drafting, reviewing, and negotiating a variety of real estate agreements, including purchase and sale agreements, lease agreements, loan documents, and other transactional documents
- Supporting all legal aspects of real estate transactions, including due diligence, title and survey review, and closing logistics
- Constructing efficient processes by employing AI and cutting-edge technology to optimize legal operations including workflows, document automation, and compliance solutions
- Providing legal advice and support to internal business teams on real estate-related matters
- Structuring, drafting, and negotiating complex real estate financing transactions, including mortgage loans, mezzanine financing, construction loans, and refinancing arrangements
- Supporting real estate fund formation, compliance, and investment activities, including reviewing and negotiating fund documentation and advising on regulatory requirements
- Managing and coordinating with outside counsel as needed
- Preparing and reviewing organizational documents, including certificates of formation, operating agreements, and corporate resolutions
- Assisting with entity formation, qualification, and maintenance across multiple jurisdictions.
- Maintaining and updating corporate records and organizational charts
- Evaluate, implement, and manage legal tech and AI tools, including contract review and analysis, matter management, document automation, legal spend and compliance solutions
- Coordinate with real estate, finance, and other departments to align legal processes with broader business operations
- Help build and maintain legal knowledge bases, FAQs, and self-service tools for internal stakeholders
Qualifications
- J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction
- 2 + years of relevant real estate transactional experience, preferably with a significant portion at a large law firm ("Big Law")
- Proven experience in handling complex real estate acquisitions, sales, and financings
- Strong understanding of real estate markets and financing structures, including experience with loan documentation and security instruments
- Experience representing lenders, borrowers, or both in real estate financing transactions
- Knowledge of AI Tools and curiosity about cutting-edge technology implementation
- Mission-driven
- Experience with real estate investment funds, including fund formation, investor negotiations, and regulatory compliance
- Familiarity with joint venture structures and equity investments for real estate transactions
- Experience with construction contracts, real estate leasing and landlord-tenant matters
- Experience with real estate transactions in the Middle East or Europe
Preferred Qualifications:
Compensation
- Compensation is location-dependent and will be aligned with market rates based on the candidate’s region.
$100,000 - $225,000 a year
