What you can expect:

Reporting to the General Counsel, the Corporate Counsel provides strategic and practical guidance to ensure that O.C. Tanner’s legal and compliance goals are met.  The Corporate Counsel will be responsible and accountable for managing and overseeing commercial transactions, ensuring compliance with legal standards, and supporting the company's business objectives.  

Essential Job Responsibilities:

  • Partner with the General Counsel to provide strategic, practical legal advice to business leaders across a broad range of legal matters, balancing legal risk with business objectives.
  • Serve as a trusted legal advisor to cross‑functional teams, including Sales, Client Success, Finance, HR, Information Security, Supply Chain, and Operations.
  • Draft, review, negotiate, and advise on a wide variety of commercial agreements, including customer agreements, vendor and supplier contracts, licensing agreements, and strategic partnerships.
  • Work with business unit leaders to design and operationalize compliance programs and internal controls across global markets.
  • Act as a subject matter expert on enterprise risk and compliance, proactively identifying areas of legal or regulatory risk and partnering with stakeholders to develop mitigation strategies.
  • Provide legal support on labor and employment matters, including collaboration with HR and external counsel as appropriate.
  • Support the Information Security and Privacy teams, including assisting with vendor management, data protection obligations, and alignment with contractual and regulatory requirements.
  • Support corporate governance matters, including global entity maintenance and special projects as assigned.

Education/Qualifications:

  • Juris Doctorate degree
  • Utah Law License or ability to obtain house counsel status

Additional Requirements:

  • 3+ years proven in-house or law firm experience.
  • Experience in SaaS, technology, and/or global operations are preferred.
  • Strong written and oral communication, and interpersonal skills.
  • Ability to manage multiple projects simultaneously.
  • Ability to influence and interact at all levels of the business.
  • Ability to think and work independently and solve problems under limited direction.
