Job Summary:

The Senior Legal Counsel will be responsible for providing legal advice and assistance to companies within the portfolio of companies, with offices and employees throughout the United States and Canada and customers around the world. Reporting directly to Senior Legal Counsel and the portfolio manager as well as indirectly to the General Counsel of Volaris, you will be part of a small team that is the first and primary legal contact for fast growing vertical market software companies providing legal support primarily to the sales and finance organizations. This role requires a lawyer with strong business acumen who can work remotely, independently, and juggle multiple priorities and leaders in a fast moving and often shifting work environment. You don’t need a computer science background but you do need to know your way around commercial agreements, including agreements for software license and related services because you will see a lot of them. The successful candidate will be part of a team of lawyers for this portfolio of companies and will join a growing and diverse international legal team.

Overview

This Senior Legal Counsel role provides legal advice and support to a fast-growing portfolio of vertical market software businesses with operations across North America, Europe, and Asia/Pacific. Reporting to the General Counsel for the portfolio and working closely with portfolio leadership and the Volaris Group legal team, this role serves as a key legal partner to sales, finance, and operational teams across assigned companies.

In addition to managing day-to-day commercial legal matters, this role will play a meaningful role in supporting mergers and acquisitions activity across the portfolio, including transaction support, due diligence, and post-acquisition integration. Our businesses operate in several different vertical markets, with concentrations in security, retail, supply chain, and other specialized markets.

This role is well suited to a commercially minded in-house lawyer who is comfortable operating independently, while also contributing to acquisition-related work that requires sound judgment, issue-spotting, and cross-functional coordination. The Senior Legal Counsel will be the primary legal contact for assigned portfolio companies, with support and guidance from senior members of the legal team.

Responsibilities
  • Act as the primary legal point of contact for assigned portfolio companies, providing practical, business-focused legal advice
  • Draft, review, and negotiate a wide range of commercial agreements, including NDAs, software license and SaaS agreements, professional services and support agreements, and supplier, reseller, and distribution agreements
  • Review and advise on legal terms related to customer procurement processes, including RFPs and public tenders
  • Support mergers and acquisitions activity, including:
    • Legal due diligence for acquisitions
    • Review and analysis of transaction documents and material contracts
    • Identification and escalation of legal risks and deal issues
    • Support for post-acquisition integration and remediation efforts
  • Ensure compliance with corporate legal policies, contracting standards, and risk guidelines
  • Identify legal and commercial risks and exercise judgment regarding escalation and stakeholder communication
  • Support contract lifecycle management, including execution, storage, and documentation standards
  • Collaborate closely with members of the portfolio legal team and the broader Volaris legal organization
  • Coordinate with external counsel on commercial and transaction-related matters, under the direction of senior legal team members
  • Communicate clearly and effectively with internal stakeholders and external counterparties
  • Manage multiple matters across different companies and stakeholders, balancing competing priorities
Required Qualifications & Skills
  • Juris Doctor (JD) degree and active license to practice law in at least one U.S. jurisdiction
  • 8+ years of relevant experience in a law firm and/or in-house legal environment
  • Strong experience negotiating commercial contracts, particularly in software licensing, SaaS, and professional services
  • Experience supporting mergers and acquisitions, including legal due diligence and transaction support (either in-house or at a law firm)
Preferred Qualifications & Skills

·  Prior in-house experience or experience supporting technology or software companies

·  Meaningful exposure to M&A transactions in a repeat-acquirer or deal-driven environment

·  Exposure to public procurement or government contracting

·  General familiarity with data protection and privacy laws (including GDPR and U.S. state privacy laws)

·  Proficiency with Microsoft Office and common legal tools
