Job Summary:
We are seeking a Securities & Governance attorney to join our Legal team, focusing on U.S. securities law compliance and corporate governance for a publicly traded company. Reporting to 8x8’s Deputy General Counsel, you will play a key role in ensuring compliance with SEC reporting obligations, NASDAQ listing requirements, insider trading regulations, and executive compensation-related laws, while also advising on governance best practices and regulatory developments. You will collaborate with SEC Reporting, Finance, Investor Relations, Compliance, Stock Administration, and HR teams to provide practical legal guidance and ensure transparent, accurate, and compliant corporate disclosures. This role offers an opportunity to support securities compliance efforts in a fast-paced, high-growth environment, leveraging your legal expertise, attention to detail, and proactive approach. You will also help enhance disclosure processes, securities filings, and governance workflows by incorporating AI-driven legal innovations, making a meaningful impact on how 8x8 manages regulatory compliance in an evolving legal landscape.
Key Responsibilities:
Advise on securities law compliance, including assessing materiality and determining when filings, disclosures, or other regulatory actions are required.
Prepare and review securities filings (10-K, 10-Q, 8-K, Proxy Statements, etc.) and ensure compliance with NASDAQ listing standards and corporate governance requirements.
Review and provide guidance on press releases, earnings releases, CEO/CFO earnings call scripts, investor presentations, and external communications, ensuring compliance with securities laws and consistency in corporate messaging.
Administer Rule 10b5-1 trading plans, insider trading policies, and stock plan compliance.
Provide legal guidance on executive compensation disclosures and equity compensation programs.
Assist with Board of Directors and committee materials, resolutions, and shareholder engagement, ensuring adherence to corporate governance best practices and SEC rules.
Track emerging securities laws, regulatory and public-interest disclosure requirements, and changes in global securities regulations.
Maintain and enhance 8x8’s securities compliance programs, including SOX and Dodd-Frank requirements.
Collaborate with 8x8’s SEC Reporting, Investor Relations, Finance, and Communications teams to ensure securities disclosures and governance processes are consistent, accurate, and compliant.
Qualifications:
J.D. from an accredited U.S. law school and admission to practice in at least one U.S. jurisdiction.
Minimum of 5 years of securities law experience with at least 2 years of experience in an Amlaw 200 law firm.
Demonstrated experience advising on securities law compliance, preparing and reviewing securities filings (10-K, 10-Q, 8-K, and Proxy Statements etc.), overseeing insider trading policies, providing governance support, and working cross-functionally on securities-related disclosures.
Experience reviewing and advising on external disclosures, including press releases, earnings releases, and investor communications.
Deep knowledge of federal securities laws, including the Securities Act of 1933, Exchange Act of 1934, Sarbanes-Oxley, Dodd-Frank, and Reg FD.
Ability to work independently while collaborating with SEC Reporting, Finance, Investor Relations, Compliance, Stock Administration, and HR teams.
Preferred Qualifications:
Experience in the technology or cloud communications industry.
In-house securities law experience at a public company.
Experience working with NASDAQ-listed companies and knowledge of NASDAQ listing requirements.
Strong understanding of insider trading laws, executive compensation disclosures, and stock plan administration.
Experience advising on shareholder engagement, including responding to investor inquiries, proxy advisory firm recommendations, and corporate governance trends.
Proven ability to enhance securities compliance processes, including risk mitigation strategies and governance best practices.
Experience monitoring and analyzing securities regulatory developments and their impact on corporate compliance.
Experience supporting or responding to securities litigation, regulatory inquiries, or SEC investigations.
Strong project management and process improvement skills.
AI-proficient, open to innovation, and skilled in leveraging AI for efficiency and growth.
The compensation range reflects the Company’s good faith belief at the time of posting. 8x8 has different base pay ranges for different work locations within the United States, which allows us to pay employees competitively and consistently in different geographic markets. The range above reflects the potential base pay across the U.S. for this role; the applicable base pay range will depend on what ultimately is determined to be the candidate’s primary work location. Further, individual base pay depends on various factors, in addition to primary work location, such as complexity and responsibility of role, job duties/requirements, and relevant experience, knowledge, success, education and skills. Base pay ranges are reviewed and typically updated each year. Offers are made within the base pay range applicable at the time. Certain roles are eligible for additional rewards, including discretionary merit increases, bonus and/or stock. Certain roles have the opportunity to earn sales variable compensation incentives based on the terms of the plan and the employee’s role.
Salary Ranges:
