Job Description

Purpose:

Corporate and Manufacturing Paralegal provides legal and administrative support to General Counsel. Paralegal will assist with regulatory compliance, contract review and management, corporate governance, and other legal matters related to business operations and as assigned by the General Counsel.

Direct Reports:  None

Key Responsibilities:

  • Corporate Governance & Compliance:
    1. Maintain corporate records, filings, and entity management.
    2. Assist with board meetings, resolutions, and corporate minutes.
    3. Ensure compliance with federal, state, and local regulations.
  • Contract Review and Management:
    1. Draft, review, and manage contracts related to suppliers, vendors, and customers.
    2. Assist in negotiating and redlining agreements under attorney supervision.
    3. Monitor contract deadlines, renewals, and compliance obligations.
  •  Regulatory and HR Compliance:
    1. Ensure compliance with industry regulations (e.g., OSHA, EPA, EEOC, NLRA).
    2. Assist in obtaining and maintaining necessary business licenses and permits.
    3. Monitor changes in laws affecting the manufacturing industry.

 

  • Litigation Support:
      1. Assist attorneys with litigation matters, including document collection and discovery.
      2. Manage case files, subpoenas, and responses to legal inquiries.
      3. Coordinate with external counsel on litigation and disputes.
  • Intellectual Property & Trade Secrets:
    1. Assist in managing trademarks, patents, and trade secrets.
    2. Support confidentiality agreements and protect proprietary information.
  •  Employment & Labor Law Compliance:
    1. Maintain employee records related to legal compliance.
    2. Assist with workplace investigations and employment agreements.
    3. Support HR and GC in handling legal documentation and compliance.
  •  Mergers & Acquisitions (M&A) Support (if applicable).
    1. Assist with due diligence and corporate transactions.
    2. Organize and review transactional documents.
  •  General Legal & Administrative Support:
    1. Research legal issues and provide summaries to attorneys.
    2. Manage legal databases, filings, and document management systems.
    3. Assist in responding to audits and government inquiries.
    4. File Annual Reports in applicable jurisdiction for United States entities.

Qualifications & Skills:

  1. Bachelor’s degree and/or Paralegal Certification.
  2. 10+ years of experience as a Paralegal in an in-house or law firm setting; corporate or manufacturing industry experience preferred.
  3. Ability to take front-line role in contract review and management.
  4. Knowledge and experience with contract management software and systems.
  5. Experience drafting and managing corporate governance documentation.
  6. Strong understanding of corporate law, contracts, and regulatory compliance.
  7. Proficiency in legal research tools and document management software.
  8. Excellent organizational, communication, and multitasking skills.
  9. Ability to work independently and collaboratively with legal teams.
  10. Proficiency with Microsoft Office Tools and professional software solutions.
  11. This is an on-site position.
