Core Responsibilities
General Corporate & Business Support
- Provide legal advice and support on a wide range of general corporate matters across the organization.
- Assist with corporate governance, policy development, and compliance initiatives.
- Identify and proactively manage legal and regulatory risks affecting business operations.
Commercial Contracts
- Draft, review, and negotiate a variety of commercial agreements, including supplier agreements, vendor and service contracts, leases, NDAs, and other operational contracts.
- Partner with business stakeholders to align legal terms with commercial objectives while appropriately managing risk.
M&A, Strategic Transactions
- Prior experience in the legal aspects of mergers, acquisitions, divestitures, financings, and other strategic transactions.
- Lead or support legal due diligence efforts, including reviewing and assessing commercial contracts, employment matters, intellectual property, litigation exposure, and compliance risks.
Labor & Employment (Significant Component)
- Provide legal guidance on employmentârelated matters as part of the company’s broader legal support model.
- Advise HR and management on compliance with applicable employment laws, including wage and hour, leave and accommodation laws, workplace safety, employee classification, and employee relations issues.
- Counsel on employee relations matters, performance management, disciplinary actions, investigations.
- Manage employmentârelated claims, agency matters, and litigation in coordination with outside counsel.
Litigation & Dispute Management
- Oversee litigation and dispute matters, primarily involving commercial contracts and employment issues.
- Manage outside counsel, including strategy, and case oversight.
- Coordinate internal stakeholders to support dispute resolution and risk mitigation.
Intellectual Property
- Manage the company’s intellectual property portfolio, including trademarks and copyrights, with support from outside counsel as needed.
Preferred Knowledge, Skills, and Abilities
- Juris Doctor (J.D.) degree from an accredited law school and active membership in at least one U.S. state bar.
- 5-10 years of legal experience, preferably including both law firm and inâhouse experience.
- Strong experience in commercial contract negotiation and M&A and meaningful, handsâon experience with labor and employment matters.
- Ability to provide practical, businessâfocused legal advice across multiple subject areas.
- Excellent written and verbal communication skills and the ability to work effectively with senior leadership and crossâfunctional teams.
- Strong attention to detail, organization, and followâthrough.
