Position Overview 
Reporting directly to our General Counsel, but also working closely to support the CEO, COO and project managers, the Senior Counsel will be assigned roles, responsibilities and compensation commensurate with experience and performance.

General Responsibilities
  • Commercial contracts including non-disclosure agreements, professional service agreements, master service agreements and work orders from vendor proposals, letters of intent and term sheets.
  • Land contracts including options to purchase, purchase contracts, options to lease, ground leases, access and transmission easements, crossing agreements, surface waivers and surface use agreements.
  • Land title review and curative work, in close coordination with director of land, project managers, title officers and underwriters, land surveyors, design engineers and external counsel.
  • Support utility interconnection managers by reviewing interconnection requests, system impact and facility study agreements, large generator interconnection agreements, exhibits and schedules.
  • Support project developers on local land use permit applications, state level siting and development permits, BLM rights of way and plans of development, FAA determinations of no hazard, and other local, state and federal permitting matters.
  • Review responses to utility requests for proposals for power purchase or other offtake arrangements.  Support outside counsel, as needed, on power purchase, tolling, build-transfer and similar agreements.
Skill & Experience Requirements
  • Excellent written and verbal communication skills, plus some proficiency in web-based legal research.
  • Demonstrated support in structuring, due diligence, negotiation, documentation and closing of transactions for electric power, natural resources, commercial real estate or infrastructure projects.
  • 5-15 years training and work experience in law firms or corporate legal departments, with active license in good standing to practice law in Utah or one or more other U.S. jurisdictions.
  • Additional knowledge helpful, but not required, in land use permitting and environmental review, energy regulatory, property tax, construction law, water law, governance, M&A and project finance.
