Job Description

The Paralegal, corporate services will provide comprehensive support for M&A transactions, corporate governance, legal document management, compliance, and administrative tasks for the General Counsel and Senior Legal Counsel.

Job Responsibilities:

  • Support M&A transactions, including due diligence, data room coordination, document preparation and coordination, and attend to closing and post-closing matters. Track deliverables and key dates. 
  • Develop, manage and maintain corporate database and internal filing systems. Maintain library of completed contracts, transactions and precedent documents.
  • Order status reports, good standing certifications, due diligence documents, lien searches, UCC statements and amendments. Review and prepare summaries.
  • Assist with review and management of non-disclosure/ confidentiality agreements, guarantees, powers of attorney and other corporate documents.
  • Maintain corporate records, including entity formation, minute books, policies, board minutes, listings of officers and directors, annual filings, licenses and corporate organizational charts.
  • Responsible for the preparation and maintenance of annual compliance documents and regulatory filings.
  • Assist with corporate governance matters, such as preparing for board meetings, maintaining board minutes, assisting with committee initiatives and ensuring compliance with state and federal regulations.
  • Review, proofread, format, redact and edit agreements and other legal documents. Conduct basic legal research. 
  • Broad range of day-to-day support to the General Counsel and Senior Legal Counsel, including various administrative duties as needed.
  • Code, process, and track all legal invoices.

Qualifications and Education Requirement:

  • 5+ years of paralegal experience in Corporate/M&A at a law firm and/or corporate legal department in the United States.
  • Undergraduate degree, associate’s degree or certificate in paralegal studies or a combination of relevant education and experience.
  • Strong knowledge of US corporate law and procedures, including state and federal regulatory filings, experience working with regulatory agencies strongly preferred. Experience with Canadian entities is an asset.
