Job Description Summary

We are seeking a Senior Counsel for a critical role in ensuring the success and compliance of our organization. In this dynamic position, you will be a key contributor within a team of five attorneys who provide strategic legal guidance and support distribution and product leadership within Transamerica’s Protection Solutions and Savings & Investments businesses that focus on retirement, mutual funds, employee benefits, life insurance, and annuity products and services.

Job Description

Responsibilities:

  • Provide legal advice and support in the development, maintenance and offering of investment advisory, broker-dealer, and insurance agency products and services 

  • Prepare, review and negotiate legal contracts, documents and agreements, including advisory agreements, custodian contracts, clearing agreements, selling/distribution agreements, and service agreements 

  • Advise on legal risks and potential impacts of business decisions 

  • Monitor, review and interpret relevant securities laws, rules and regulations, and keep business partners informed of the potential impact to the Transamerica’s business lines 

  • Draft regulatory responses, disclosures, and other correspondence with regulatory agencies 

  • Collaborate with internal compliance teams to develop and implement policies and procedures to mitigate legal risks 

  • Work on complex legal issues where analysis requires identification and evaluation of multiple factors 

  • Educate business partners and work cross-functionally with compliance, supervision, risk, and business partners to achieve compliance with applicable laws and regulations while minimizing client impact 

  • Review and provide advice on communications to sales force, customers, and distribution partners relating to regulatory, operational, financial, and administrative aspects of the business 

  • Keep senior business management and operations personnel apprised of pertinent legal and regulatory developments 

  • Exercise independent judgment regarding legal advice with limited supervision of a more senior attorney 

Qualifications:

  • JD from an ABA accredited law school 

  • Member of the Bar in good standing of any US  jurisdiction 

  • Senior level legal experience with a focus on retail broker-dealer, investment adviser, and state insurance matters with knowledge of relevant laws, rules and regulations (typically 5+ years) 

  • Able to effectively communicate, both written and oral, with the intended audience 

  • Able to exercise sound judgment in a fast-paced environment 

  • Able to exercise agility and adaptability in providing legal advice 

  • Comfortable in a rapidly changing corporate environment 

  • Proficient using MS Office 

  • Good organizational and project management skills with an ability to work autonomously and manage multiple priorities 

  • Action oriented, timely and organized with ability to prioritize workload with high degree of accuracy and attention to detail 

  • Employs innovative thinking to assist the business in generating and implementing creative, cost effective and realistic solutions that create business impact and lend toward its growth 

  • Focuses on creating an environment of honesty, inclusion and respect for others, is open to and champions differing ideas and perspectives, and collaborates in a fully inclusive manner 

Preferred Qualifications:

  • Knowledge of ERISA and retirement plans preferred but not required 

Working Conditions:

  • Remote or hybrid working environment

  • Occasional travel to meet with leaders, other members of the team, and business partners 

Compensation:

The Salary for this position generally ranges between $165,000 - $180,000 annually. Please note that the salary range is a good faith estimate for this position and actual starting pay is determined by several factors including qualifications, experience, geography, work location designation (in-office, hybrid, remote) and operational needs. Salary may vary above and below the stated amounts, as permitted by applicable law.

Additionally, this position is typically eligible for an Annual Bonus based on the Company Bonus Plan/Individual Performance and is at the Company’s discretion.
