General Counsel
POSITION SUMMARY

the General Counsel will play a critical role in fulfilling Cinch Home Service’s vision and achieving
the company’s growth objectives.
As General Counsel, S/he will play a pivotal role in improving the company’s performance and helping
to shape its future by ensuring legal and ethical excellence as we expand our impact on the home
warranty market. They will manage a Team of associates across a broad portfolio of Legal and
Compliance functions. S/he will serve as a trusted business partner to the company’s CEO,
The Board of Advisors and Executive team and will play a critical role in the ongoing business
transformation, growth focus, and overall success of the company. This is a high-impact and visible role
at Cinch with the mandate to help improve the company’s business performance and partner with
leadership to drive industry-leading growth.
KEY RESPONSIBILITIES
The General Counsel will be responsible for leading the Legal and Compliance strategies for the company
to minimize its legal risks by advising the CEO, Executive Team, on any major legal and regulatory issues
the company confronts.
S/he will:
Strategy and Leadership
• Serve as the legal advisor to the CEO and Executive team
• Develop and implement legal strategies to support business objectives and mitigate risk.
• Provide counsel on corporate governance, compliance, and risk management.
Regulatory Compliance
• Ensure compliance with federal, state, and local regulations relevant to the home warranty industry and marketing, including telesales.
• Utilize outside counsel as considered necessary and manage the budget.
• Oversee licensing and regulatory filings.
• Keep abreast of regulatory law changes, as they apply to the various aspects of the company.
• Monitor legislative federal and state changes and advise leadership on implications for business operations.
Contract Oversight
• Oversee team that draft, review, and negotiate a variety of agreements, including vendor, customer, and partnership contracts to ensure that the terms align with business objectives.
• Review key contracts.
Risk Management and Litigation
• Proactively identify and manage potential legal risks to minimize exposure.
• Oversee consumer litigation, dispute resolution, and customer AG and Department of Insurance complaints, coordinating with external counsel as needed and ensure the company's interests are vigorously defended.
• Track root cause of Attorney General (AG) and Department of Labor (DOL) complaints and work with the business to minimize complaints received from AGs and DOL.
Team Collaboration and Training
• Partners with internal departments, including Sales, Marketing, Operations, and HR, provide legal guidance on cross-functional initiatives.
• Conduct training on legal and compliance matters, including consumer protection and ethical practices.
SKILLS & EXPERIENCE
The ideal candidate for this role will be an expert and seasoned Legal executive and Leader with the following background and experience:
• Minimum of 15 years of legal experience, with at least 5 years in a senior legal role with leadership responsibilities of increasing scope including demonstrated success in transformation environments.
• Broad functional experience in each functional area of the job including, but not limited to: Compliance, Risk Management, Litigation
• Excellent legal skills include written and oral communication, legal research and analysis, and judgment.
• Strong knowledge of consumer protection laws and regulations.
• Experience in the home warranty or insurance industry is strongly preferred.
• Proven expertise in regulatory compliance, contracts, and risk management.
• Experience with complex corporate transactions and structures.
• Successful record of managing litigation efficiently and cost-effectively.
• Familiarity with data privacy and cybersecurity regulations, including PCI.
• Experience in corporate maintenance.
• Exceptional Leadership experience with:
• the ability to manage in-house legal and compliance staff and external counsel.
• Outstanding leadership, coaching, and interpersonal skills and demonstrated success in hiring, developing, and retaining best-in-class talent.
• Experience of building collaborative teams with business partners.
• Preferred Qualifications: Insurance; RESPA (Real Estate Settlement Procedures Act) Law.

EDUCATION
Bachelor’s degree and Juris Doctor (JD) from an accredited law school.
Florida Bar or eligible for Florida in house counsel bar admission.
