
Position Summary:
The Vice President & General Counsel will serve as the Company’s chief legal officer, responsible for overseeing all legal, compliance, and regulatory affairs. This role provides strategic leadership and expert legal guidance across a wide range of areas including contracts, litigation, employment law, mergers & acquisitions, corporate governance, intellectual property, and risk management.
Key Responsibilities:

Lead and manage all legal matters affecting the company, including compliance, regulatory issues, contracts, litigation, employment law, mergers & acquisitions, corporate governance, intellectual property, and risk management.

Oversee the drafting, negotiation, and management of contracts such as client service agreements, payer contracts, vendor agreements, and nondisclosure agreements (NDAs).

Manage relationships with external legal counsel and oversee litigation strategies and resolutions.

Support corporate transactions by leading due diligence and integration efforts for mergers and acquisitions.

Advise senior leadership and the Board of Directors on legal risks, regulatory compliance, and corporate governance best practices.

Develop and implement policies to ensure legal compliance and mitigate risk throughout the organization.

Collaborate with internal stakeholders to integrate legal considerations into business decisions.

Juris Doctor (JD) degree and active license to practice law.

Extensive experience in corporate legal practice, including significant experience with contracts, litigation, employment law, M&A, and regulatory compliance.

Proven leadership skills with the ability to manage a legal team and collaborate across departments.

Strong negotiation, communication, and problem-solving skills.

Ability to balance legal risks with business objectives and strategic goals.
Compensation:
Base Salary: You will be classified as a salaried, exempt employee, with a starting salary of $9,615.38 bi-weekly (equivalent to $250,000 annually), paid in accordance with Company policies and subject to all required withholdings and deductions.
Bonus: You will be eligible to participate in the Company's annual discretionary bonus program with a target bonus of up to 20% of your annual salary.
