Job Description

We have an exciting opportunity for a Paralegal role for a recently formed joint venture that will bring together ADM and Alltech’s U.S. feed business, as well as Canada-based Masterfeed businesses. The Paralegal is responsible for providing comprehensive legal support to an Alltech joint venture, which operates 43 animal feed manufacturing locations across the United States and Canada. This role will coordinate closely with outside legal counsel, manage legal documentation, ensure regulatory compliance, and support a wide range of corporate legal matters. The Paralegal will serve as a key resource for contract administration, corporate governance, litigation support, and legal research, helping to safeguard the company’s interests and facilitate smooth business operations.


Key Responsibilities 

Legal Support & Coordination

  • Serve as the primary liaison between the corporation and outside legal counsel, coordinating all legal work requiring external expertise.
  • Assist in the preparation, review, and management of contracts, agreements, and other legal documents related to business operations, vendor relationships, and regulatory matters.
  • Support the formation, maintenance, and dissolution of corporate entities, including filings and recordkeeping for multiple locations.
  • Facilitate compliance with federal, state, provincial, and local laws and regulations across all company sites.
  • Maintain accurate and organized corporate records, including minutes, resolutions, and filings.
  • Track and manage deadlines for regulatory filings, litigation matters, and compliance requirements.

Corporate Governance & Compliance

  • Support the development and enforcement of corporate governance policies and procedures.
  • Assist with internal audits and compliance reporting related to labor, safety, and environmental regulations.
  • Monitor changes in relevant laws and regulations, providing timely updates and recommendations to leadership.

Litigation & Case Management

  • Coordinate with outside counsel on litigation matters, including document production, discovery, and case tracking.
  • Prepare summaries, reports, and case materials for management and legal counsel.
  • Organize and maintain legal files, ensuring confidentiality and accessibility.

Legal Research & Analysis

  • Conduct legal research on statutes, regulations, case law, and industry standards to support decision-making and risk management.
  • Summarize findings and provide actionable insights to the CEO and other stakeholders.

Cross-Functional Collaboration

  • Work closely with business leaders, operations, HR, and other departments to ensure legal considerations are integrated into business decisions.
  • Support contract negotiations and modifications to accommodate changing business needs.

 

Required Skills/Abilities:

  • Excellent communication and interpersonal skills, with the ability to build trust and rapport across all levels of the organization.
  • Strong organizational skills and attention to detail, capable of managing multiple projects and priorities.
  • Demonstrated ability to handle confidential information with discretion.
  • Proficient in Microsoft Office Suite and legal research platforms (e.g., Westlaw, LexisNexis).
  • Knowledge of legal terminology, procedures, and document management systems.
  • Proactive, adaptable, and results-oriented, with the ability to work independently and as part of a team.
  • Experience supporting multiple locations and coordinating with external legal counsel is highly preferred.

Education and Experience:

  • Associate or bachelor’s degree in paralegal studies, Legal Studies, or a related field.
  • Paralegal certificate from an ABA-approved program preferred.
  • 3–5 years of progressive experience as a paralegal in a corporate or manufacturing environment.
  • Experience supporting multi-site operations and working with outside legal counsel.
  • Solid knowledge of corporate law, contract administration, and regulatory compliance.

Work Environment & Physical Requirements:

  • Required to work in a formal business professional office environment, with occasional travel to other company locations as needed.
  • Required to communicate effectively with senior management, business leaders, employees, outside counsel, and external stakeholders, both verbally and in writing.
