
Perform a variety of complex law related tasks and provides assistance and support to the Company's attorneys in order to enhance the legal counsel and support provided to the client. Conducts legal research, manages litigation matters, reviews/drafts legal documents, and may act on behalf of the Company in simple legal matters.
Your day to day
- Updating entity management database with director and officer changes, adding, or removing companies and acting as primary point of contact between Company and its registered agent, annual report, and entity management software service providers.
- Writing notices, agenda, committee papers, resolutions, written consents, and meeting minutes for corporate actions, maintaining corporate minute books, and coordinating board actions for many subsidiaries in Americas region and their branches globally.
- Assisting with creation of new entities, qualifications, withdrawals, dissolutions, and mergers.
- Obtaining execution of documents, apostilles and consularized documents. Preparing secretary incumbency, and notary certificates, powers of attorney and other corporate documentation.
- Preparing regulatory filings for Secretary of State and other government office filings.
- Assisting with administrative and complex corporate governance projects. Preparing structure charts and reports. Collaborating with colleagues in other teams and regions to support a global business. Responding to audit, Know Your Customer (KYC), and regulatory compliance requests. Answering inquiries related to corporate secretariat area and acting as a liaison with internal and external contacts. Composing clear and concise correspondence. Performing other support duties as assigned.
What we need from you
- Education & Certification: Bachelor's Degree or equivalent experience; Paralegal Certification or 4-year degree with 2 years related experience while pursuing a paralegal certificate.
- Experience: 4 to 7 years of progressive experience in corporate, governmental, or law firm settings, focusing on research and drafting responsibilities.
- Technical Skills: Proficient in Microsoft Office and legal software; knowledgeable in legal concepts and terms; skilled in legal research.
- Communication & Interpersonal Skills: Strong verbal and written communication abilities; effective interaction with clients, counsel, and team members; ability to present information clearly.
- Organizational & Analytical Skills: Excellent attention to detail; capable of managing multiple tasks and deadlines independently; strong analytical and problem-solving skills.
Location – Atlanta, GA; Our hybrid work structure is an expectation of three (3) days a week in office. This expectation may be adjusted to evolve with the changing needs of the business.
The hourly range for this role is $20.00 to $38.47. This role is also eligible for bonus pay (as applicable). We offer a comprehensive package of benefits including paid time off, medical/dental/vision insurance, 401K, and other benefits to employees.
