Job Description

WHAT WE’RE LOOKING FOR

The Associate Corporate Counsel will support the Company’s day-to-day business operations including matters related to contracts, legal research, regulatory compliance, and other general legal matters as may be assigned.

A GLIMPSE INTO YOUR DAY

  • Review, negotiate, and draft a high volume of commercial contracts critical to the Company’s business operations, including insurance carrier appointment contracts, confidentiality agreements, SaaS agreements, and other vendor and partner agreements.  Ensure proper execution of these contracts.
  • Provide fast, practical, business-oriented legal and commercial contract advice directly to business stakeholders.
  • Identify and minimizes business risks, proposing practical legal solutions to meet business needs.
  • Assist in regulatory and insurance licensing compliance by reviewing and interpreting regulations, statutes, and policies related to regulatory affairs.
  • Prepare subpoena responses, investigate and respond to Department of Insurance inquiries, report E&O claims and potential claims, and coordinate responses with leadership and insurance carriers.
  • Perform research and analysis on various legal issues related to the company’s business operations and transactions, including broader corporate matters such as real estate, employment, corporate governance, IP, M&A, etc.
  • Identify opportunities for internal templates; draft and coordinate their creation and updates.
  • Performs other projects, duties, and tasks, as assigned.

WHAT SUCCESS LOOKS LIKE IN THIS ROLE

  • Active license to practice law and admission to at least 1 state bar maintained in good standing.
  • Minimum 2 years’ experience practicing law in a law firm setting.
  • Experience in performing diverse duties substantially similar to the essential duties and responsibilities of this position.
  • Regulatory compliance preferred (e.g., HIPAA, GDPR, CPPA, ERISA, SEC, FINRA, etc.).
  • Insurance industry experience preferred.
  • Demonstrated experience drafting, reviewing, and negotiating contracts.
  • Ability to manage a large volume of concurrent, often competing, priorities.
  • Proactive with a high level of drive, energy, persistence, and initiative.
  • Excellent written and verbal communication skills to effectively negotiate contracts, balance internal and external interests, and achieve successful outcomes.
  • Ability to clearly discuss contract recommendations with the business leadership and resolve legal and business problems related to contracts and regulatory compliance.
  • Ability to effectively and diplomatically communicate and collaborate with colleagues at all levels of the organization across departments as well as within the Legal Department.
  • Strong organizational and project management skills.
  • Strong, thoughtful, and creative analytical and problem-solving skills.
  • Adherence to all principles of confidentiality and data security.
