Paralegal

Status: Full Time            

Reports To: General Counsel

 

Summary:

We are seeking a highly detail-oriented and experienced Paralegal with 3–5 years of experience supporting legal teams in transactional law, corporate compliance, and construction law, including government contracting and licensing specifically within the telecommunications infrastructure industry. This role requires precision, proactivity, and strong legal acumen to assist with redlining, reviewing, and negotiating contracts, and ensuring the company maintains full compliance across commercial and government-related activities.

 

Key Responsibilities:

  • Contract Drafting & Negotiation Support
    • Prepare, review, redline, and revise various contracts, including subcontractor agreements, NDAs, MSAs, vendor contracts, and government subcontracts, with a strong emphasis on accuracy and attention to detail.
    • Track contract versions, record key terms, and assist in negotiations to ensure clear, risk-appropriate agreements.
    • Maintain contract files and ensure deadlines, terms, and obligations are meticulously monitored and met.
  • Government Contracting & Compliance
    • Support legal compliance with federal, state, and local contracting regulations (e.g., FAR/DFARS, flow-down clauses), demonstrating careful attention to detail in interpreting and applying regulatory requirements.
    • Prepare and maintain government prequalification materials, certifications, and compliance documentation with precision.
  • Corporate Governance & Licensing
    • Assist in maintaining accurate and up-to-date corporate records, business licenses, and construction registrations in multiple jurisdictions.
    • Coordinate renewals and filings with meticulous attention to deadlines and statutory requirements.
  • Regulatory & Internal Compliance
    • Support internal compliance initiatives and help implement and manage legal policies, procedures, and training materials.
    • Monitor regulatory developments and ensure company documentation reflects precise and current compliance obligations.
  • Employment Agreements & Restrictive Covenants
    • Maintain and organize records for employee agreements, including non-compete, non-solicitation, and confidentiality provisions, ensuring consistency and legal sufficiency.
  • Legal Research & Operations
    • Conduct legal and regulatory research with accuracy and thorough documentation.
    • Support litigation or investigative matters through document collection and organized file management.
    • Manage legal databases and support matter management systems with a high degree of precision.
  • Ensure confidentiality and sensitivity of data when handling contract records and information.
  • Collaborate effectively with internal departments such as operations, risk, and human resources to ensure seamless communication and process compliance.
  • Stay current with industry practices, public and private contract processes, and legal department procedures.

 

Minimum Qualifications:

  • Demonstrated ability to redline and support contract negotiations with close attention to detail and risk awareness.
  • Working knowledge of FAR, DFARS, and public contracting laws.
  • Strong understanding of construction licensing and regulatory frameworks.
  • Exceptional attention to detail, organizational skills, and time management.
  • Strong communication skills and a collaborative work ethic.
  • Ability to manage multiple priorities in a dynamic environment.
  • Strong understanding of office procedures, compliance requirements, and records management.
  • Proficiency in using Microsoft Office Suite (Word, Excel, PowerPoint, Outlook), Adobe, SharePoint, and experience with workflow or data analysis tools like Microsoft Projects or Visio.
  • Experience with DOCK 365 contract management software is preferred.

 

Required Education and Experience: 

  • Bachelor’s degree and/or ABA-approved paralegal certificate required.
  • 3–5 years of paralegal experience, ideally in transactional law, construction, and government compliance.
  • Experience working in or with the construction industry and government contracting preferred

 

Supervisory Requirements:

This position does not have supervisory requirements

 

Position Type and Expected Hours of Work:

This is a full-time position.  Days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Occasional after-hours work may be required to meet deadlines or manage crisis situations

 

Physical Demands:

Employee is occasionally required to stand; walk; sit; use hands to finger, handle or feel objects, tools or controls; reach with hands and arms

This role routinely uses standard office equipment such as computers, phones, photocopier, filing cabinets and fax machines

Occasionally required to lift or move up to 25 pounds and frequently lift or move up to 10 pounds

Must be able to pass pre-employment screening that includes background and drug/alcohol testing and participate in random testing program

Position requires working indoors in a professional office atmosphere

Must possess valid driver’s license

 
Travel: 

Minimal travel expected for this position
