General Summary

The SVP, Chief Legal Officer & General Counsel (CLO/GC) serves as the top legal executive for the organization, providing strategic leadership and oversight of all legal, regulatory, and compliance matters. As a key member of the executive leadership team, the CLO/GC ensures the company operates within the law while advancing its business objectives. This role is especially critical in a publicly traded environment and within the highly regulated workers' compensation insurance industry.

Essential Duties and Responsibilities

Legal Strategy & Governance

  • Serve as the principal legal advisor to the Board of Directors, CEO, and executive leadership.
  • Lead the development and execution of legal strategies that support corporate goals and mitigate risk.
  • Ensure compliance with all applicable laws, regulations, and corporate governance standards, including SEC and state insurance regulatory requirements.
  • Oversee corporate governance matters, including board meetings, minutes, and shareholder communications.

Regulatory & Compliance Oversight

  • Manage relationships with state insurance departments, the SEC, and other regulatory bodies.
  • Ensure compliance with workers' compensation laws, insurance regulations, and public company disclosure obligations.
  • Oversee internal investigations and respond to regulatory inquiries or audits.

Risk Management & Litigation

  • Oversee all litigation, arbitration, and dispute resolution matters.
  • Manage outside counsel and legal budgets effectively.
  • Oversee enterprise risk management and support the development of risk mitigation strategies.

Transactional & Corporate Matters

  • Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions.
  • Review and negotiate complex contracts, including reinsurance agreements, vendor contracts, and employment agreements.
  • Support investor relations and public disclosures, including earnings releases, 10-Ks, 10-Qs, and proxy statements.

Leadership & Team Development

  • Lead and mentor a high-performing legal, compliance and risk management team.
  • Foster a culture of integrity, accountability, and continuous improvement.
  • Collaborate cross-functionally across all areas of the enterprise.

 

Qualifications:

Education & Experience

  • Juris Doctor (JD) from an accredited law school; active license to practice law in at least one U.S. jurisdiction.
  • Minimum 15 years of legal experience, with experience in a GC/CLO role preferred.
  • Experience in the insurance industry, preferably in workers' compensation.
  • Recent experience with a publicly traded company is strongly preferred.

  • Deep understanding of insurance regulatory frameworks and public company governance.
  • Exceptional judgment, integrity, and discretion.
  • Strong leadership, communication, and interpersonal skills.
  • Ability to manage complex legal issues in a fast-paced, dynamic environment
  • SEC and M&A transactional experience required.

Work Environment/Physical Demands

  • This position is REMOTE, and only open to candidates currently located in the United States. It requires a suitable space that provides a private and quiet workplace.
  • EXPECTED WORK HOURS: Schedules are set to accommodate the requirements of the position and the needs of the organization and may be adjusted as needed.
    • May work early, late, or occasional weekend hours to accommodate business needs.
  • TRAVEL: required to travel to off-site location(s) to attend meetings as necessary.
  • This role potentially and will routinely use office equipment such as computers, phones, printers, and web conferencing technology as examples.
  • This is largely a sedentary role; however, some mobility is required.
    • Occasional lifting of a maximum of 30lbs.
