As an integral part of the legal team, you will be exposed to a wide variety of work. You will learn to draft and negotiate a broad range of contracts, which may include but not be limited to, software as a service (SaaS) agreements, other licensing agreements, service and supply agreements, professional services agreements, consulting agreements, confidentiality agreements, procurement agreements, marketing agreements. You will also assist on matters involving human resources, finance, disputes and litigation, subpoenas, intellectual property, and real estate. We weren’t kidding when we said you would be exposed to a wide variety of work!
The Legal Counsel will help the business identify and implement practical business solutions to achieve its goals. The Legal Counsel will be highly organized, solution driven, customer service-oriented, pragmatic and proactive in their approach to contracting and be able to work both collaboratively and autonomously. Most importantly, the Legal Counsel will be intellectually curious and eager to learn.
Core Requirements and Responsibilities:
Essential job functions included but are not limited to the following:
· You will draft, negotiate and review a wide range of commercial contracts.
· You will work with the sales team to review, revise and negotiate sales agreements in Salesforce.com and will assist with contract workflow.
· You will assist the team in third party dispute resolution and managing litigation matters.
· You will assist the team in connection with intellectual property matters.
· You will assist the team in responding to subpoenas.
· You will continually improve the efficiency and effectiveness of legal contract support within the company while maintaining the quality and consistency of contracts across the organization, following all applicable best practices, processes and procedures.
· Other duties as assigned.
Knowledge, Skills and Abilities:
· Has experience reviewing, drafting, and negotiating commercial agreements including but not limited to software licensing, SaaS, vendor/procurement or sales/service agreements, professional services agreements, and non-disclosure agreements.
· Has familiarity with laws relevant to the sale and marketing of software including with respect to licensing, data protection/privacy, and intellectual property.
· Possesses a high level of professionalism and outstanding business judgment.
· Is extremely detail oriented.
· Thrives in a fast-paced environment and has the ability to handle multiple, competing workloads with changing priorities to meet necessary deadlines.
· Has excellent communication skills, both written and verbal.
Qualifications:
· JD from an accredited law school with exceptional academic credentials.
· Admitted to Colorado or be bar licensed in another state in good standing.
· 0-3 years of law firm and/or in-house experience.
· Comfort using technology, including AI, preferred.
· Intellectually curious and eager to learn.
Additional Requirements and Details:
· Travel required up to 10% of the time.
· Located and working from an office location.
· Occasional lifting and/or moving up to 10 pounds.
· Frequent repetitive hand and arm movements required to operate a computer.
· Specific vision abilities required by this job include close vision (working on a computer, etc.).
· Frequent sitting and/or standing.
