The Senior Corporate Paralegal provides advanced legal support to attorneys in the legal department. This role requires a high level of organizational skills, attention to detail, and a strong understanding of corporate law and procedures. The ideal candidate will be a proactive problem-solver with the ability to manage multiple complex projects simultaneously.

The Senior Corporate Paralegal will be responsible for ensuring compliance with corporate governance requirements, and supporting general corporate compliance, including corporate entity legal processes such as annual filings, foreign registration filings, and subsidiary corporate management. This role will also assist with our contracts drafting and related processes including assisting with the implementation, and then management of, our contracts management system (CMS) for North American and international activities. The Senior Corporate Paralegal will additionally provide general legal support on a wide range of matters.

YOUR RESPONSIBILITIES

Corporate Governance:

  • Assist with ensuring compliance with, and managing overall corporate governance activities for our subsidiaries, including preparing and managing the company minute books and drafting corporate resolutions to support various business objectives.
  • Research requirements and timely prepare applications/filings for new corporate formations, foreign registration filings, corporate withdrawals/dissolutions, franchise tax filings, and regulatory compliance.
  • Obtain any required financial and corporate data from internal or external advisors to timely complete filings and corporate entity surveys.
  • Provide legal support and guidance to Tax Team on tax-related registrations and filings involving corporate officers/structure.

Contracts:

  • Assist in developing first drafts from contract templates, managing the NDA process, vendor and service agreement processes, and other commercial agreements, drafting renewal and termination notices and helping to ensure processes are in alignment with company objectives and risk tolerances.
  • Assist with driving the implementation of a new CMS including developing and socializing system protocols, assisting with developing and delivering training to key stakeholders, and then managing the CMS for North America and (non-EU) international activity to ensure the efficient and accurate contract lifecycle management and reporting.
  • Collaborate with cross-functional teams on continuous improvement initiatives to streamline contract processes, implement approval matrices, develop form libraries, and develop contracts playbooks for the negotiation of both template agreements and third-party agreements within the company’s policies and legal standards. 

General Legal Support:

  • Provide legal support in due diligence activities, including reviewing and analyzing legal documentation and data rooms related to various partnership opportunities and other business transactions.
  • Coordinate Know Your Customer (KYC) and trade compliance reviews with the Compliance Team, ensuring compliance with regulatory requirements and supporting the onboarding of new clients or partners.
  • Collaborate with the Tax and Finance Teams to provide legal support on tax and finance-related matters, including tax compliance matters, requesting Employer Identification Numbers and preparing UCC agreements as instructed.
  • Assist in e-discovery efforts, managing and organizing electronic data and otherwise collaborate with external legal teams to provide relevant information and support during litigation or disputes.
  • Assist with other matters as needed.

YOUR EXPERIENCE

  • Bachelor’s degree or paralegal certificate required.
  • Minimum of 5 years of corporate paralegal experience.
  • Strong understanding of corporate law and procedures.
  • Excellent organizational and time management skills.
  • Strong attention to detail and accuracy.
  • Ability to work independently and as part of a team.
  • Excellent written and verbal communication skills.
  • Proficiency in Microsoft Office Suite.
