The Company’s General Counsel seeks an outgoing and skilled paralegal with the ability to provide assistance for a broad range of matters across the company and its subsidiaries. The Company is committed to being the #1 choice and partner to its trade professional customers for their materials and supplies in plumbing, HVAC and electrical. The ideal candidate should have a minimum 3 years of experience and include corporate governance, contracts, transactions, employment, litigation and regulatory/administrative compliance. Salary is commensurate with experience.

Tasks and Responsibilities:

Corporate Governance – assist with processing of service of process, entity creation, annual maintenance, secretary of state filings, bylaws, minutes, resolutions, stock certificates and business licenses.

Contracts/Transactions – assist with the review, revising and the organization of a variety of agreements, including non-disclosures, supply agreements, public works agreements, independent contractors, procurement, IT related, real property leases and purchases, and other general business agreements.

Employment – assist with employment and labor issues from handbook policies, training, EEO matters, to litigation.

Intellectual Property – assist with supporting internal and external IP processes for trademarks from registration and renewal to enforcement.

Litigation – assist with organizing and coordinating with external counsel, coordinating internally to facilitate gathering of documents and information and coordinating with insurance.

Regulatory/Compliance – assist with research and understanding of regulatory and compliance matters involved in the day-to-day operations - HSE, OSHA, HIPAA, etc.

Administrative – coordinate internally with Company team members, insurance carriers, bond sureties and external counsel. Assist with policies and procedures, research and developing training materials.

Skills and Ability

Professional communication with outside counsel and internally with Company personnel, leadership and executives at multiple levels of the company.

Proven ability to handle confidential and privileged information with poise, tact and diplomacy.

Critical thinking, writing clearly and concisely.

Ability to recognize and establish priorities and meet deadlines.

Highly organized, able to multi-task, work independently.

Comfortable participating in direct discussions. Not afraid to ask questions and collaborate.

Detail oriented, ability to timely complete tasks, without expecting others to complete for you.

Handle job related stress related to organizing multiple tasks.

Proficient with Microsoft Word, Outlook, Excel and Power Point. Knowledge of organizational tools such as Microsoft List and similar project management programs is a plus.

Desire to build relationships.
