Responsibilities


Legal Strategy & Counsel

  • Serve as the company’s internal legal advisor, providing practical guidance across development, construction, property management, investor relations, and corporate functions.
  • Advise senior leadership on legal implications of key initiatives, contracts, and company policies.
  • Draft, negotiate, and review a wide range of legal agreements including development and construction contracts, vendor agreements, private placement memoranda (PPMs), and operating agreements.
  • Oversee legal documentation for bank financing and investor structuring.
  • Manage and optimize relationships with outside legal counsel, including scope alignment, engagement structure, and cost management.
  • Review and approve investor-facing marketing materials and communications to ensure legal accuracy, appropriate disclosures, and compliance with applicable securities laws.
  • Oversee legal documentation, compliance obligations, and closing processes related to Low Income Housing Tax Credit (LIHTC) developments, ensuring proper coordination with syndicators, investors, lenders, and public agencies.
  • Advise internal teams on structuring LIHTC projects to meet legal, regulatory, and programmatic requirements, including partnership agreements, regulatory agreements, extended use provisions, and ongoing compliance expectations.

Legal Compliance

  • Provide legal guidance to support business execution while ensuring compliance with applicable laws.
  • Collaborate with internal stakeholders to ensure legal entity structures and contracts are designed to balance opportunity and protection.
  • Monitor and help ensure compliance with all federal, state, and local laws applicable to Roers Companies’ operations across multiple jurisdictions.
  • Support internal compliance functions as needed.

Governance & Entity Management

  • Maintain and operationalize the company’s legal entity structure and related documentation across all states of operation.
  • Support the company’s corporate governance infrastructure, including maintaining legal entity records, managing organizational documents (e.g., operating agreements, resolutions), and ensuring company practices align with internal governance standards.
  • Stay current on legislative, regulatory, and industry developments that may impact company operations or investor obligations.

Investment Committee Leadership & Legal Evaluation

  • Lead or co-lead the company’s Investment Committee, ensuring that new development and acquisition projects undergo structured legal and risk assessment prior to approval.
  • Provide legal insight on project viability, entity structuring, land use constraints, regulatory considerations, and contractual obligations during investment evaluation.
  • Collaborate with development, construction, finance, and investor relations teams to assess risks and protections tied to proposed deals, including title issues, zoning, permitting, and entitlement matters.
  • Maintain documentation and process integrity for Investment Committee decisions, helping establish a repeatable and legally sound decision-making framework.
  • Advise on legal implications of project-specific deal structures, including joint ventures, capital stack strategies, and investor-facing terms.

Litigation & Dispute Resolution

  • Represent the company in limited legal matters and coordinate litigation strategy and execution with external counsel.
  • Support resolution of claims and disputes in a manner that protects the company’s interests and reduces business disruption.

Collaboration & Leadership

  • Develop and lead a small legal team while developing cross-functional partnerships across the company.
  • Lead internal education on legal matters, helping teams understand legal requirements in a business-enabling way.
  • Develop legal procedures and workflows that drive consistency, efficiency, and compliance across the enterprise.
  • Collaborate closely with the Equity and Investor Relations teams to ensure legal documentation aligns with both regulatory requirements and investor sales strategy, balancing legal structure with marketability.
Requirements

Required:

  • Juris Doctor (J.D.) from an accredited law school and active license to practice law in the state of Minnesota 
  • 8–12+ years of legal experience, including in-house counsel and/or law firm experience focused on real estate development, construction, capital markets, or securities
  • Proven experience drafting and negotiating a broad range of complex agreements, including construction contracts, operating agreements, and investor documentation
  • Deep understanding of corporate governance, entity structuring, and regulatory compliance
  • Demonstrated ability to identify risk and provide strategic, business-minded solutions in fast-paced environments
  • Skilled in managing outside counsel relationships with cost-efficiency and quality outcomes
  • Strong business acumen, judgment, and ability to communicate legal concepts clearly and concisely
  • Skilled at navigating organizational change and driving alignment between legal strategy and evolving business models, especially in high-growth environments.
  • Strong leadership and team management skills with experience overseeing legal teams.
  • Technologically proficient, with experience using legal technology platforms, contract management systems, and core business tools such as Microsoft Office (Word, Excel, PowerPoint, Outlook) to support efficient legal operations, communication, and executive reporting.

Preferred:

  • Experience with private placements, unregistered securities, and SEC-related matters
  • Familiarity with insurance programs and enterprise risk management frameworks
  • Working knowledge of employment law and multi-state compliance considerations
  • Background in supporting litigation strategy, dispute resolution, or claims management
  • Executive presence with strong interpersonal, advisory, and cross-functional leadership skills4

 

Compensation and Benefits for General Counsel:


Pay Range: $174,400 - $238,700 

Compensation is determined by several factors that vary depending on the position, including the individual’s experience, skills, and the knowledge they bring to the specific role.
